Practice Experience
Shlomi Azar is an associate in the Firm's Banking & Capital Markets Group in London. He concentrates in equity capital markets and mergers & acquisitions transactions. Shlomi is also a member of the Israel Practice Group.

Prior to joining White & Case, Shlomi worked for a leading law firm in Israel. His practice included advice on and drafting of equity financings, M&A transactions and other commercial agreements.

Representative transactions include:
  • Representation of AFI Development PLC, a subsidiary of Africa Israel Investments, one of the largest companies listed on the Tel Aviv Stock Exchange, on its US$1.4 billion initial public offering on the London Stock Exchange. AFI Development is a Cypriot company which develops large, complex, multiuse real estate projects in Moscow, the Moscow region and other large cities in Russia. The floatation is the largest Russian real estate IPO to date as well as the fifth largest real estate IPO globally. Deustche Bank, Morgan Stanley and Goldman Sachs acted as joint bookrunners of the offering;
  • Representation of JPMorgan Securities Ltd., Lehman Brothers International (Europe) and Merrill Lynch International on the US$1.54 billion initial public offering of Oil Refineries Ltd. (ORL), an Israeli corporation wholly owned by the State of Israel. This was the largest-ever IPO on the Tel Aviv Stock Exchange, as well as the largest-ever privatisation in Israel’s history. ORL, together with its subsidiaries, is engaged in the refining of crude oil, the manufacture of petrochemicals and aromatic products and the manufacture of basic oil and waxes;
  • Representation of Credit Suisse Securities (Europe) Limited and Merrill Lynch International on a US$280 million offering of ordinary shares of MirLand Development Corporation Plc, an Israeli controlled Cypriot incorporated company, and admission of its ordinary shares to trading on AIM. MirLand is a real estate development company focusing on developing high-quality commercial and residential real estate assets in Moscow, St. Petersburg, and other large Russian cities;
  • Represented emerging growth companies from inception (mainly high-tech companies) and VC funds in venture financing transaction;
  • Represented a major pharmaceutical company in a range of investments, acquisitions and joint venture transactions; and
  • Provided ongoing advice to directors and senior management in large corporations.
