Practice Experience
Shanan Dunstan is an associate in the Firm's Bank Finance Group in New York and is currently on secondment to the Banking & Capital Markets Group in London. Shanan's experience includes advising banks and other financial institutions in relation to leverage finance transactions, debtor-in-possession financing and general corporate and bank lending.
Representative transactions include:
- Acting for Deutsche Bank as lead arranger and agent in connection with the US$2.565 billion of senior secured credit financing provided to Madison Dearborn Partners, LLC, a leading private equity firm, as sponsor, for the acquisition of Nuveen Investments, Inc., a leading global provider of investment services to institutions and high-net-worth investors.
- Acting for Deutsche Bank, UBS Securities, Bank of America and BNP Paribas as lead agents and arrangers in connection with the US$565 million senior secured financing provided to Oak Hill Capital Partners, a leading private equity firm, as sponsor, in connection with its US$1.1 billion acquisition of eight Fox television stations.
- Acting for Deutsche Bank as Agent in relation to the refinancing of the US$580 million senior secured financing provided to Alliance HealthCare Services, Inc., the largest provider of advanced outpatient diagnostic imaging services in the United States.
- Acting for Deutsche Bank as joint lead arranger and agent in connection with the US$565 million senior secured financing provided to Madison Dearborn Partners, LLC, in connection with its approximately US$904 million acquisition of BWAY Holding Company, a leading North American manufacturer of general line rigid containers.
- Acting for Lehman Brothers Merchant Banking Partners IV LP, an affiliate of Lehman Brothers, in connection with the completion of its US$300 million acquisition (and subsequent de-listing) of Angelica Corporation, a NYSE listed company which provides textile rental and linen management services to 4,200 healthcare providers in 25 US States. The buyout was financed through equity and fully-underwritten debt-financing composed of a senior credit facility and senior subordinated notes.
- Acting for Cyan Partners, LP, a middle market direct lending fund that provides debt capital solutions, as Administrative Agent and lender, in its syndicated US$51 million financing of Packaging Plus, LLC, a global vertically integrated packaging provider. This transaction represented Cyan Partners, LP's first investment of debt capital.
- Acting for Cyan Partners, LP, as Administrative Agent and lender, in its syndicated US$64 million financing of T & D Solutions, LLC, a utility service company specializing in constructing and maintaining high voltage transmission and distribution lines.
- Acting for Goldman, Sachs & Co., as lead book-running manager, in connection with the offering of US$750,000,000 of 12 percent senior secured notes of Global Crossing Limited, a publicly traded global telecommunications company that provides solutions over the world's first integrated global IP-based network with a core network connecting approximately 400 cities in 45 countries worldwide. The notes were secured by collateral located in over 30 countries.
- Acting for an affiliate of Quad-C Management, Inc., a private equity fund with over US$2 billion in capital under management, in connection with its acquisition of Augusta Sportswear Holding Company, a leading provider of team uniforms, athletic apparel, outerwear, and school-inspired products.
- Acting for Dominus Capital LLC, a leading middle-market private equity partnership, in connection with its acquisition of Spectrum Corporation, the leading formulator, blender, packager and distributor of specialty lubricants to the outdoor power equipment, marine, recreational equipment and automotive aftermarkets. The financing consisted of a US$40 million first lien (comprising B term loans, A term loans and a revolving credit facility) and second lien credit facilities.
- Acting for Deutsche Bank AG, London Branch as Security Trustee in connection with review and negotiation of US law security documents related to the issuance by Virgin Media Secured Finance Plc of US$1 billion 6.5 percent senior secured notes due 2018 and £875,000,000 7 percent senior secured notes due 2018.
Shanan has advised on a number of debtor-in-possession and exit financings and other distressed credit transactions, including representing:
- Acting for Deutsche Bank AG, New York Branch, as administrative agent and collateral agent in connection with the amendment of Simmons Bedding Company's US$540 million senior secured credit facility and two extensions of a forbearance agreement waiving defaults under that credit facility. The extensions of the forbearance period provided Simmons Bedding Company additional time to seek new capital while it undergoes an organized financial restructuring of its balance sheet. Simmons Bedding Company is one of the world’s largest mattress manufacturers, with 21 bedding manufacturing facilities across the United States, Canada and Puerto Rico.
- Acting for Deutsche Bank AG, New York Branch, as DIP Agent in respect of its US$19.85 million debtor-in-possession financing of Metaldyne Corporation, a leading global designer and supplier of metal based components, assemblies and modules for transportation related powertrain and chassis applications with more than 4,400 employees spread between 33 countries. The financing consisted of a secured super-priority post-petition priming revolving loan facility and was provided in conjunction with the sale of Metaldyne’s operations to a coalition of Metaldyne's existing term lenders. Chrysler Motors, Ford Motor and General Motors were listed among the company's top five unsecured creditors and also provided financial and other accommodations.
- Acting for Pilot Travel Centers LLC (a joint venture owned by Pilot Corporation and funds managed by CVC Capital Partners), as lender, in its US$100 million debtor-in-possession financing of Flying J Inc., an operator of highway travel plazas and the largest retailer of diesel fuel in North America. The senior secured super-priority post-petition (non-priming) loan facility was provided in connection with Pilot Travel Centers LLC's proposed acquisition of Flying J Inc.'s core travel plaza and truck stop businesses, the consummation of which would provide Flying J Inc. with the proceeds necessary to emerge from Chapter 11 bankruptcy protection. Pilot Travel Centers LLC is the nation's largest retail operator of travel plazas, operating in 41 states with approximately 13,000 employees and over 300 retail interstate properties.
- Acting for a consortium of bondholders comprised of CQS (US), LLC, Deutsche Bank Securities Inc., Elliott Management Corporation, Goldman, Sachs & Co., Monarch Alternative Capital LP, Oak Hill Advisors, L.P. and Solus Alternative Asset Management LP, as lead investors, with respect to the Chapter 11 restructuring of Visteon Corporation, one of the world's largest suppliers of automotive parts. Visteon’s lead investor-sponsored Plan of Reorganization became effective upon the closing of a US$1.25 billion equity capital raise led by the lead investors (together with various co-investors) consisting of a US$950 million backstopped rights offering and a US$300 million direct purchase of shares, as well as US$700 million in new bank facilities (consisting of a US$500 million term loan facility and a US$200 million ABL facility).
Prior to joining White & Case, Shanan practiced from 2003 to 2006 as a solicitor in Melbourne and Brisbane (Australia) offices of a major International Law Firm, practicing primarily in the areas of acquisition finance, property & construction finance and project finance. She also served from 2006 to 2007 as in-house legal counsel for a major Australian Financial Institution, where she provided legal support to the Institutional Bank, including advising on structuring issues for new facilities and reviewing and commenting on existing syndicated and bilateral loan documentation, in order to assist the Financial Institution to assess and manage its Institutional Bank portfolio and exposures via sale or securitization into secondary markets.
