Practice Experience
Sven Folkesson is an associate in the Singapore office concentrating on capital market and corporate finance transactions. Mr. Folkesson advises issuers and underwriters on debt and equity transactions in emerging and developed markets. He also has experience in bank finance and acquisition.

Examples of Mr. Folkesson’s experience include representing:
  • PT Bayan Resources Tbk, the 8th largest coal producing group in Indonesia, in its US$545 million Rule 144A/Regulation S initial public offering with a listing of shares on the Indonesia Stock Exchange, which included the sale of 10% of the share capital to the strategic investor, Enel, Europe’s second largest power utility by installed capacity and Italy’s largest power company, which included a long term coal supply offtake arrangement between Bayan and Enel;
  • Deutsche Bank, as arranger and initial subscriber, in a US$400 million issuance of fully convertible debentures by a real estate group in India. The proceeds were to be used to develop FDI compliant real estate projects in India;
  • IndoCoal Exports (Cayman) Limited, in the US$900 million offering of structured export notes, under a modification of its structured export notes program established in 2005, backed by coal sale receivables of PT Kaltim Prima Coal and PT Arutmin Indonesia, two Indonesian coal producing subsidiaries of PT Bumi Resources Tbk. The transaction is the largest Asian private placement to date and was awarded “SE Asia Structured Finance & Securitisation Deal of the Year” for 2006 by Asian Legal Business;
  • BNP Paribas and Lehman Brothers as arrangers of a €2 billion EMTN Programme for the Slovak Republic;
  • Nordic Capital in relation to the recapitalization of Ahlsell AB, a Nordic distribution business with operations in Sweden, Norway, Finland, Denmark and Russia. The financing for the recapitalization was arranged by Morgan Stanley and Nordea and totaled SEK 9.4 billion (approx. €1 billion) comprising senior, second lien, mezzanine and PIK facilities; and
  • Deutsche Bank, as initial purchaser, of Pipe Holdings plc’s high yield offering of £122 million Senior Secured Notes and £66 million Senior Unsecured Notes.
