Practice Experience
Sami Al-Louzi is a partner specialized in banking, project finance, mergers and acquisitions, capital markets, and privatization. He has been advising local and international clients on joint ventures, mergers and acquisitions, and equity and debt private placements, and has been involved in the firm’s work in connection with the power and water, oil and gas, petrochemical, capital markets and telecommunications sectors in the Middle East, particularly in the United Arab Emirates and the Kingdom of Saudi Arabia.
Between January 2002 and July 2008, Mr. Al-Louzi was a resident attorney in White & Case Riyadh office and is now a resident attorney in White & Case Abu Dhabi office. In light of his extensive and in-depth experience and expertise in doing business in the Kingdom of Saudi Arabia, Mr. Al-Louzi’s practice naturally continues to include advising the firm’s clients on corporate and capital markets transactions and matters in the Kingdom of Saudi Arabia.
Prior to joining White & Case in January 2002, Mr. Al-Louzi was an attorney at Ali Sharif Zu'bi, Advocates and Legal Consultants, in Amman, Jordan. Recent transactions in which Mr. Al-Louzi is or has been involved include:
Capital Markets:
Representation of Etihad Etisalat Company (Mobily) in connection with an offer of 200 million of its shares through a rights issue, with an aggregate value of SAR 2 billion;
Representation of Samba Capital Assets & Investment Management Company, ANB Invest and HSBC Saudi Arabia Limited in connection with an offer to the public through an IPO of 22,235,294 shares of Astra Industrial Group (representing 30% of the share capital of the company) by the company and certain of its shareholders, with an aggregate value of SAR 933.88 million;
Representation of Calyon Saudi Fransi Limited and Riyad Capital in connection with an offer of 111,111,111 shares by National Industrialization Company (Tasnee) through a rights issue, with an aggregate value of SAR 2 billion;
Representation of NCB Capital Company, Samba Capital and Investment Management Company, Morgan Stanley Saudi Arabia, Alistithmar Capital and HSBC Saudi Arabia Limited in connection with an offer of 875,000,000 shares by Riyad Bank through a rights issue, with an aggregate value of SAR 13.125 billion;
Representation of GIB Financial Services Limited and Falcom Financial Services in connection the offering to the public through an IPO of 6,750,000 shares of Abdullah Al-Othaim Markets Company (representing 30% of the share capital of the company) by certain shareholders of the company, with an aggregate value of SAR 270 million;
Representation of the founding shareholders of Etihad Etisalat Company (Mobily) in connection with an exempt offer of 100,000,000 shares in the company (representing of 11% of the share capital of Mobily);
Representation of Alinma Bank in connection the offering to the public through an IPO of 1,050,000,000 of its shares (representing 70% of its share capital), with an aggregate value of SAR 10.5 billion;
Representation of Mohammed Al-Mojil Group (MMG) in connection with the offering of 30% of its shares to the public through an IPO, with an aggregate value of SAR 2.1 billion;
Representation of Bupa Arabia for Cooperative Insurance in connection with the offering of 40% of its shares to the public through an IPO, with an aggregate value of a SAR 160 million;
Representation of Dar Al-Arkan Real Estate Company in connection with the offering of 59,454,000 shares representing 11% of its share capital sold to the public by the founding shareholders through an IPO;
Representation of Kingdom Holding Co. as corporate counsel in connection with its SAR 3.04 billion IPO and its related corporate restructuring;
Representation of Fawaz Abdulaziz Al Hokair and Company in the conversion of its legal status from a limited liability company into a joint stock company and the offering of 30% of its shares to the public through an IPO;

Representation of two international investors in connection with the potential acquisition of an equity interest in a port operating company in the Kingdom of Saudi Arabia that operates the three major ports in the Kingdom of Saudi Arabia;
Representation of Etihad Etisalat Company (Mobily) in connection with its acquisition of a Saudi data service provider, Bayanat Al Oula ("Bayanat"), and a SAR1.5 billion ($400 million) financing facility to fund the acquisition;
Representation of the founding shareholders of a leading Saudi gold and jewellery retail company in connection with the leverage buy-out of 70% of their shares to a selected investor;
Representation of a leading Saudi hypermarkets company in connection with the potential acquisition of another Saudi hypermarkets company in the Kingdom of Saudi Arabia;
Representation of a GCC private equity firm in connection with the potential acquisition of a 100% equity interest in a medical disposables manufacturing company in the Kingdom of Saudi Arabia;
Representation of the founding shareholders of a leading Saudi educational services company in connection with the sale of 50% of their respective shares to a GCC entity;
Advising a French based multinational beverage company in connection with its series of acquisitions of a controlling interest in a group of Saudi Arabian, Bahraini and Qatari based beverage companies;
Representation of a leading Saudi healthcare services company in connection with a major restructuring of its business and offering of 20% of its shares to selected investors in the Kingdom of Saudi Arabia;
Representation of a consortium lead by an international telecommunications operator and Saudi partners in connection with their bid for the 3rd GSM license in the Kingdom of Saudi Arabia;
Representation of Vodafone plc in its bid for the second GSM license in the Kingdom of Saudi Arabia;
Representation of a leading Saudi company in connection with the restructuring of its real estate business into a special purpose vehicle and offering a majority equity interest in such business to selected investors through a private placement;
Banking & Finance:
Representation of The Hashemite Kingdom of Jordan in connection with the rehabilitation, expansion and operation project of Queen Alia International Airport in Amman, Jordan and in connection with the US$380 million debt financing of the project;
Representation of a Saudi branch of a foreign bank in the issuance and offering of SR 1,000,000 bond that was offered to selected investors in Saudi Arabia;
Representation of a Saudi Arabian telecommunications company in relation to a US EXIM Bank backed facility structured as a project finance transaction;
Advising a syndicate of Saudi banks acting as arrangers and lenders in connection with a SR 135,000,000 loan facility extended to a Saudi corporate borrower for the purpose of acquiring two hospitals and constructing five clinics in Saudi Arabia;
Representation of a Saudi bank on the structuring of medium-term guaranteed corporate notes placed for subscription by sophisticated Saudi investors; and
Advising as Saudi Arabian counsel a syndicate of Saudi and international banks in connection with the financing of two chemical tankers in Saudi Arabia.
