Practice Experience
Mr. Qusba's practice focuses on out-of-court restructurings, bankruptcy, acquisition of distressed companies and bank financings. Sandy represents agent banks and steering committees in restructuring, negotiating, and redocumenting syndicated loans, letter of credit facilities and intercreditor arrangements, and in structuring debtor-in-possession exit financings. In addition, he represents individual creditors in bankruptcy and out of court acquisitions of distressed public and private companies. Sandy's practice includes representation of financial institutions in the healthcare, energy, automotive, manufacturing, telecommunications and other technology industries.
Illustrated Professional Experience
Represents agent for 30-bank syndicate, in a senior, secured financing facility to a telecom company;
Represents agent in $200 million senior, secured credit facility to cable television company;
Represents an agent bank in connection with multiple-party litigation in Adelphia bankruptcy;
Represented agent in connection with $60 million debtor-in-possession financing facility to an automotive supplier;
Represented agent in a pre-negotiated Chapter 11 plan of a public company;
Represented agent in workout of a $35 million facility;
Represented acquirer in purchase of substantially all assets of target pursuant to Section 363 of the Bankruptcy Code;
Represented co-agents of a senior, priming $290 million debtor-in-possession financing facility;
Represented agent in workout of $190 million senior, secured credit facility to manufacturing and distribution company;
Represented co-agents of a senior secured $140 million exit financing facility;
Represented one of three agents in restructuring over $3 billion in bank debt of an energy conglomerate;
Represented steering committee of lenders in successful restructuring of approximately $1 billion of debt, including a pooling and consolidation of over 20 different credit facilities;
Represented agent in connection with successful workout of $100 million acquisition facility;
Represented agent in connection with $60 million debtor-in-possession financing facility to a telecom Chapter 11 debtor;
Represented Italian and German joint venture in a successful acquisition of a public U.S. company pursuant to a pre-negotiated Chapter 11 plan; and
Represented agent in connection with successful restructuring of $70 million term debt and revolver facility, including debt for equity exchange.
