Practice Experience
Rikard Stenberg is a partner in the firm's Stockholm office and he focuses on capital markets and public M&A. In capital markets Rikard has advised issuers, owners as well as underwriters in a variety of transactions including IPOs, spin-offs, rights offerings and convertible bonds offerings. He has extensive experiences of advising sponsors and their portfolio companies in connection with dual and triple track exit processes.
Rikard's public M&A experience includes a wide range of domestic and cross border buy-outs, merger of equals and reversed takeovers, and he has represented both sponsors and strategic buyers. In addition, Rikard regularly counsels Swedish listed companies on corporate governance and long term variable remuneration programmes.

- Byggmax, a Nordic DIY building materials retailer, and its principal owner Altor 2003 Fund in connection with the company's SEK 1.2 billion IPO and NASADAQ OMX listing and U.S. and international offering of ordinary shares pursuant to 144A and Reg. S;
- J.P. Morgan, Nordea, Skandinaviska Enskilda Banken DnB NOR and RBS as the underwriters of airline carrier SAS' SEK 5 billion rights issue of ordinary shares;
- J. P. Morgan as manager of airline carrier SAS' SEK 1.6 billion convertible bond issuance;
Bank of America Merrill Lynch and Credit Suisse as the underwriters of Swedbank's SEK 15 billion rights issue of ordinary shares;
- J. P. Morgan, Nordea, Skandinaviska Enskilda Banken, Danske Markets and DnBNOR as the underwriters of airline carrier SAS' SEK 6 billion rights issue;
- EOS Russia, the investment company focusing on the Russian energy/power industry, in its SEK 2.5 billion international placement of ordinary shares pursuant to 144A and Reg. S;
- Bank of America Merrill Lynch and J.P. Morgan and as the joint bookrunners of Swedbank's SEK 12 billion rights issue of preferential shares;
- Duni, the disposable table top products manufacturer, and its principal owners EQT Fund I and III in connection with the company's SEK 1.5 billion IPO and NASADAQ OMX listing and U.S. and international offering of ordinary shares pursuant to 144A and Reg. S;
- Nederman, the supplier of air improvement “capture at source” products and systems, and its principal owner EQT Fund Denmark in connection with the company's SEK 650 million IPO and NASDAQ OMX listing;
- Oriflame, the international cosmetics company, and its principal owner IK 1997 Fund in connection with the company's SEK 3.8 billion IPO and NASDAQ OMX listing and U.S. and international offering of ordinary shares pursuant to 144A and Reg. S;
- Citigroup, Credit Suisse, Deutsche Bank and Skandinaviska Enskilda Banken as the underwriters of power and automation technologies provider ABB's CHF 3.2 billion rights issue of ordinary shares;
- Nobia, the leading kitchen interior company, and its principal owner IK 1994 Fund in connection with the company's SEK 1.7 billion IPO and listing and U.S. and international offering of ordinary shares pursuant to 144A and Reg. S;
- Intrum Justitia, the pan-European receivables management services company, and its principal owner IK 1997 Fund in connection with the company's SEK 1.5 billion IPO and listing and U.S. and international offering of ordinary shares pursuant to 144A and Reg. S;
- Alfa Laval, the global provider of process engineering solutions and equipment, and its principal owner IK 1997 Fund in connection with the company's SEK 5.1 billion IPO and listing and U.S. and international offering of ordinary shares pursuant to 144A and Reg. S; and
- Carnegie, the Nordic investment bank and asset management firm, in its SEK 1.2 billion IPO and NASDAQ OMX listing and U.S. and international offering of ordinary shares pursuant to 144A and Reg. S.
Examples of representative public M&A transactions include advising:
- Kamic in its successful SEK 215 million tender offer for ElektronikGruppen, a Nordic supplier of components and systems for the electronics industry;
- Schulthess, the SIX Swiss Exchange listed heating, cooling and washing technology provider, in the CHF 638 million mixed consideration offer for the company by NASDAQ OMX listed NIBE, the pan-European heat pump manufacturer;
- Privately held downstream Alliance Oil of Russia in the successful USD 1.5 billion reversed takeover of NASDAQ OMX listed West Siberian Resources, the Bermuda incorporated Russian upstream oil company;
- California based NASDAQ listed Powerwave Technologies in its successful strategic combination with and SEK 3 billion exchange offer for NASDAQ OMX listed LGP Allgon, the radio and mobile communications solutions supplier, as well as the secondary listing of Powerwave Technologies on NASDAQ OMX;
- NASDAQ OMX listed LGP in its successful strategic combination with and SEK 760 million exchange offer for NASDAQ OMX listed Allgon;
- Avesta Sheffield in Finnish Outokumpo Steel's SEK 19 billion strategic combination with and exchange offer for Avesta Sheffield;
- AP Fastigheters successful SEK 1.8 billion tender offer for NASDAQ OMX listed Anders Diös, a real property company;
- Sands Petroleum in its successful exchange offer for IPC, the Canada incorporated upstream oil and gas company; and
- Procuritas Capital Partners II in its successful tender offer for BPA, the NASDAQ OMX listed technical installation service provider.
