Stanislava Valientová has focused her practice and experience mainly on the areas of banking, financing and capital markets.  She has assisted major Slovak banks and various multinational and domestic companies with structuring, negotiation and documentation of bilateral and syndicated financing, project financing and real estate financing, both local and cross border, and securitization.

Ms. Valientová has also obtained considerable expertise in the fields of Eurobond issues, developing projects, real estate transactions, and in the area of mergers and acquisitions.

Real Estate Financing

In the area of Real Estate Financing Ms. Valientová recently participated in a number of significant transactions, including the assistance to the following companies:

• ČSOB, a.s., in connection with EUR 144,700,000 and SKK 205,000,000 syndicated loan provided to a member of the J&T Group in order to finance the construction and operation of River Park, a multi-functional project in Bratislava including high-standard administrative, residential and retail premises, and a hotel;
• Erste Bank, in connection with EUR 51,000,000 syndicated loan provided to major Hungarian real estate developer in order to finance the construction and operation of Lakeside Office Park at Nové Mesto, a district of Bratislava;
• Slovenská sporiteľňa, a.s., in connection with the extension and restructuring of a EUR 80,000,000 bilateral loan originally provided to a major real estate developer in Slovakia in order to finance the construction and operation of an administrative project in Bratislava;
• Všeobecná úverová banka, a.s., in connection with the contemplated restructuring, extension and syndication of a loan originally provided to the biggest German developer to finance the construction and operation of a major shopping-mall investment project in Nitra;
• Senec Warehouse Park s.r.o., a special purpose vehicle formed by American, Czech and Slovak real estate developers, in connection with a loan provided to finance acquisition of land and construction of a logistic centre.

Project Financing and Capital Markets

In the area of Project Financing and Capital Markets, Ms. Valientová has been involved in a number of significant multinational transactions, including assistance to the following companies:

• Budamar Transport Limited, in connection with EUR 21,600,000 term loan facility provided for the financing of an acquisition of a Slovak major shipping company;
• Deutsche Bank AG London, in connection with the establishment and perfection of the security over shares of a major Slovak paper-based packaging company in order to secure EUR 3.8 billion syndicated financing provided to a major Irish-based manufacturer of paper-based packaging products for its acquisition of and merger with a major Netherlands based manufacturer of packaging products to form the largest paper packaging firm in Europe;
• BNP Paribas and Lehman Brothers, in connection with preparation of the 2006 Slovak Republic EUR 2 billion EMTN Programme and subsequent issue of the first tranche of the Slovak Republic’s Eurobonds in the value of EUR 1 billion maturing in 2021, with a fixed interest rate of 4%.
