Practice Experience

Sam Yau is an associate in the Firm's Banking & Capital Markets group in London. Sam undertakes a variety of capital markets, structured finance and securitisation transactions. She has had particular involvement in cross-border emerging market transactions and collateral debt obligations.

Examples of recent representations include:

Representing a leading investment bank in connection with the €450 million managed CLO with CVC Cordatus Group Limited as Collateral Manager, CVC Cordatus Limited as Sub-Manager Cordatus CLO II PLC as Issuer and RBS as Arranger;
Representing Citgroup in connection with a €500 million managed CDO with Eaton Vance Management as Collateral Manager, Eaton Vance CDO X PLC as Issuer and Citigroup as Arranger;
Akbank T.A.Ş. (Turkey) – US$600 million further issue of 3 tranches of floating rate Regulation S notes (one tranche being guaranteed by Ambac) by A.R.T.S. Ltd. (with Akbank as originator and servicer of the securitized remittances);
Akbank T.A.Ş. (Turkey) – US$125 million refinancing of a tranche of floating rate notes issued by A.R.T.S. Ltd. due 2014 (and the addition of credit enhancement by Financial Guaranty Insurance Company);
Akbank T.A.Ş. (Turkey) – US$1.433 billion issue of 11 tranches of floating rate Regulation S/Rule 144A notes (with credit enhancements of 4 tranches by Ambac, CIFG, MBIA and XL) by A.R.T.S. Ltd. (with Akbank as seller and servicer of the purchased remittances); and
JSC Concern Stirol (Ukraine) – US$125 million 7.875 per cent. Loan Participation Notes due 2008 (issued by UkrChem Capital B.V.).
