Practice Experience
Tim Goodell is the Global Co-head of White & Case’s Mergers & Acquisitions Practice Group, and a member of the Firm's Partnership Committee. In addition to mergers and acquisitions, Mr. Goodell concentrates in the areas of financings, restructurings and securities. He also counsels both public and private corporations on general corporate and corporate governance matters.
In mergers and acquisitions, Mr. Goodell represents purchasers and sellers in structuring, negotiating and documenting transactions, including public, private, cross-border and highly leveraged transactions.
Mr. Goodell represented Deutsche Bank in the sale of its late-stage private equity portfolio, valued at €1.5 billion, to MidOcean Partners.
He also represented Castle Harlan, a New York-based private equity firm, in connection with the going private acquisition of Morton’s Restaurant Group, Inc. He represented Amerada Hess Corporation in connection with its $3.2 billion acquisition of Triton Energy and the majority shareholder of Bacou USA, Inc. in a going private transaction.
He represented the Estate of Leon Hess in connection with the sale of the New York Jets football franchise in March 2000.
He also represented Saatchi & Saatchi in connection with its sale to Publicis SA and Huhtamaki in connection with the sale of its U.S. candy business to Hershey Corporation and the simultaneous purchase of Hershey’s European candy business.
He represented Foster Wheeler Corporation in connection with the acquisition of the Pyropower division of Ahlstrom Corporation with assets located in the U.S., Finland and Poland and in the sale of their worldwide Glitch business located in 26 countries to Koch Industries. Other significant transactions included the representation of Swiss Bank Corporation in connection with the acquisition of Brinson Partners and Dillon Read & Co. and UPM Kymmene in its unsuccessful $7 billion bid for Champion International.
Mr. Goodell has represented a number of foreign and domestic companies, such as Saatchi & Saatchi, Cordiant Communications Group, Foster Wheeler Corporation and UPM-Kymmene Corporation in public and private offerings of debt and equity securities in the United States, including 144A and Regulation S offerings.
He also represents underwriters and U.S. and foreign issuers in high yield debt offerings pursuant to Rule 144A.
Mr. Goodell has also represented several investment and buyout funds in the U.S. and Europe, including Castle Harlan and Alchemy Partners based in the U.K.
