Practice Experience
Tomáš Pazourek joined White & Case in 2004, immediately after graduating from university.
Since joining the office, Mr. Pazourek has focused on the complete preparation of banking and financial transactions, with a particular focus on the preparation and negotiation of the terms of contractual documentation and the provision of related advisory services, including corporate due diligence. Mr. Pazourek regularly acts as counsel to leading banks operating in the Czech Republic and abroad, particularly in connection with bilateral and syndicated loan transactions, as well as all types of bank financing, including acquisition financing, secured financing of real estate, and export financing.
Banking and Finance Mr. Pazourek participated in a secured syndicated financing granted to a tire manufacturer, Česká gumárenská Group, worth CZK 3.6 billion.
Mr. Pazourek assisted Citibank a.s. in its capacity as agent, arranger and security agent on a CZK 1.75 billion secured syndicated facility to SMVaK, a water utility company.
Mr. Pazourek also provided legal advisory services to Raiffeisenbank a.s. in connection with a syndicated term loan facility to a real estate developer to finance the reconstruction of the City Tower, Prague.
He further assisted Raiffeisenbank a.s. in connection with senior syndicated loans to finance the construction of hotel complexes in Pilsen and Ostrava, and also in connection with investment loans to finance the purchase and refurbishment of several residential buildings in Prague.
Mr. Pazourek also acted as advisor to CSOB, a.s. and KBC Bank N.V. in connection with the financing of a developer project and the re-financing of obligations of a developer and its affiliates.
Mr. Pazourek represented leading Czech banks in the provision of syndicated secured financing in the amount of CZK 0.6 billion to finance the operational needs of a major Czech group engaged in the paper industry, and with respect to a €48.5 million syndicated financing for the Czech subsidiary of a foreign holding engaged in automotive industry.
Mr. Pazourek advised ING Bank N.V. in connection with the CZK 1 billion syndicated secured financing of Green Gas DPB, a.s., a member of Green Gas International, which owns and operates methane plants and coal mines. He also advised UniCredit Bank Czech Republic, a.s. and ING Bank N.V. in connection with the €75 million and CZK 400 million club financing of the investment needs of a foreign holding and Czech subsidiaries engaged in combined transport. Mr. Pazourek further represented Česká exportní banka a.s., Česká spořitelna, a.s. and Komerční banka, a.s. in connection with multicurrency senior secured financing provided to a Czech aerospace manufacturer and insured by EGAP and KUPEG; this financing is one of the most complex pre-export, export and receivables financings provided by a club of Czech banks.
He has represented, among others, ABN AMRO Bank N.V., The Royal Bank of Scotland, Commerzbank AG and major Czech companies and foreign business groups in negotiations regarding cross-boarder transactions involving obligors operating in the Czech Republic. For example, Mr. Pazourek acted as advisor to Global Safety Textiles (GST), an auto parts manufacturer operating in eight countries (including the Czech Republic), whose debt was restructured under a Chapter 11 plan (U.S. Bankruptcy Code). Mr. Pazourek has also been acting for a Czech company in connection with obtaining investment financing of CZK 1.14 billion for one of the largest solar power plants operated in the Czech Republic.
Mr. Pazourek participated in the representation of Česká exportní banka a.s., Česká spořitelna, a.s. and Živnostenská banka a.s. in connection with numerous extensive and complex secured export financing facilities insured by EGAP, the Czech state-owned export insurance agency. He acted as counsel to the banks named above in connection with the project financing, trade receivables purchase programs and the financing of the supplies of technologies to the Russian Federation, Ukraine and other countries of the former USSR. Among the most important transactions in which Mr. Pazourek was involved was a €188 million export financing to a Russian company, OOO “Kurganskaya TEC”, used to finance the supply of power generation turbines and the subsequent construction of an electric power plant in the Russian Federation, a €75 million export financing for the refurbishment of heat and power facilities of the Russian company GEP Vologdaoblkommmunenergo, the financing of supply contracts of a major Ukrainian energy group, and the US$232 million and US$155 million commercial and export credit financing to the Russian company Magnitogorsk Iron and Steel Works for the modernization of a rolling mill and the construction of a vacuum kiln, respectively.
Mr. Pazourek acted as advisor to the Office for the Kralovehradecky Region in the preparation of a public tender for a bank to provide the Kralovehradecky Region with a loan to finance various regional projects. In this transaction, his assistance included, in particular, the preparation of tender documentation and assistance in the evaluation of bids, and other issues generally connected with public tenders pursuant to the Public Procurement Act. He further advised the Office for the Kralovehradecky Region in connection with a plan to refinance the construction of the Pivovar Administrative Center in Hradec Kralove.
In addition, Mr. Pazourek advised Erste Bank AG in a mandatory tender offer related to shares of Ceska sporitelna, a.s. from its minor shareholders.
In several major due diligence investigations, Mr. Pazourek further examined legal relations regarding environmental law, corporate matters and industrial property issues. As a team member of White & Case representing a foreign financial advisor to Zentiva, a.s. in connection with the initial allotment of its participating securities in capital markets, he performed an extensive due diligence investigation. He has also performed due diligence investigations as part of the representation of foreign investors, such as Westcon Group, Genesis Funds, and UniCredito Italiano, in connection with acquisitions of Czech companies.
