Practice Experience
Mr. Stehlík's is a member of the White & Case energy and construction law practice groups. His principal areas of practice include energy law, construction (including EPC and EPCM contracts) and M&A.

Mr. Stehlík has during his practice participated in a large number of various significant projects carried out in the Czech Republic and abroad. He is regularly advising ČEZ and the RWE Group, the largest energy companies in the Czech Republic, on general as well as specific energy and project related law issues.

Mr. Stehlík was recently named one of the world's leading construction lawyers in Who's Who Legal.

In the energy sector, Mr. Stehlík participated on the following deals:

Mergers & Acquisitions
  • Czech Republic:
    • Representing RWE Gas AG in the privatization of Transgas, a.s. and eight gas distribution companies, the largest privatization ever in the Czech Republic and worth €4 billion;
    • Assisting ČEZ, a. s. in connection with the anticipated acquisition of a majority stake in LUMIUS, spol. s r.o., energy trading company;
    • Assisted in the the privatization of Unipetrol, a petrochemical giant, on the part of the National Property Fund.
  • Bulgaria: Advising ČEZ in their acquisition of a 67% equity stake in three Bulgarian electricity distribution companies sold by the Bulgarian Ministry of Energy. This transaction represented the largest foreign investment ever undertaken by a Czech company (2005) and one of the largest privatization projects to date in the Republic of Bulgaria and the acquisition of 100% equity stake in Thermal Power Plant Varna EAD;
  • Romania: Advising ČEZ in their participation in a tender for the privatization of a Romanian electricity distribution company, Muntenia Sud, and post-acquisition activities in Romania following ČEZ’s former acquisition of Electricita Oltenia, an energy distribution company;
  • Georgia: Advising Česká exportní banka, a.s. in connection with financing provided to Energo-Pro a.s. for the purpose of the privatization of hydro power plants and energy distribution companies in Georgia including the assistance in dealings with various energy-related legal issues;
  • Macedonia: Advising ČEZ in their participation in a tender for the privatization of AD ESM, a Macedonian energy distribution company;
  • Montenegro: Advising ČEZ in participation in a tender (and a renewed tender) for the privatization of TPP Pljelvja, a Montenegrian thermal power plant (asset deal including development of a new unit) and a minority stake in a coal mine, Rudnik Uglja (share deal);
  • Bosnia Herzegovina: Advising ČEZ on the €1.5bn ($2bn) investment in developing energy resources in Republika Srpska, the Serb Republic of Bosnia-Herzegovina (Gacko). The project in Gacko marks the largest foreign direct investment in Republika Srpska, the Serb Republic of Bosnia-Herzegovina, to date and the largest foreign investment by a Czech company to date.

Energy Regulatory
  • Advisory in connection with the unbundling-driven corporate restructuring of ČEZ group. ČEZ group was required to implement measures to ensure compliance with so-called unbundling requirements;
  • Representing ČEZ Distribuce, the DSO, on all matters relating to the consequences of increased grid connections for solar power plants in the Czech Republic including advice on the interpretation of the applicable renewable energy laws, advising on the implementation of legislative changes as well as the review and amendment of contractual documents governing grid connections and the purchase of electricity;
  • Representing RWE Transgas, a. s., a major Czech gas producer, with respect to various energy regulatory and competition issues, including the restructuring of its Czech operations known as the "unbundling" in order to comply with changes in the new Energy Act and the EU Gas Directive;
  • Advising ČEZ, a major Czech energy company, in connection with the use of EFET agreements (for energy trading) in the Czech Republic, including application of bankruptcy, netting and financial derivatives;
  • Providing Sokolovská uhelná, Právní nástupce, a.s. with legal analysis of the Czech energy regulations relating to pricing set by the Czech Energy Regulatory Office; and
  • Providing RWE Transgas a.s.with a European and Czech energy advice in connection with the reorganization of the transit business of RWE Transgas, a.s. in order to transfer existing transit agreements to RWE Transgas NET (now NET4GAS) and to restructure the group.

Projects

In the projects and construction sector, Mr. Stehlík has been involved in many of the major recent Czech and also international projects, mostly in the energy sector. He advised, among others, the following companies:
  • Advising NET4GAS, s.r.o. (a subsidiary of RWE Transgas) acting as TSO in the Czech Republic in connection with the construction of a new 160 km long gas pipeline (Gazelle) in the Czech Republic, which represents a continuation of Nord Stream and Opal transmission lines;
  • Provision of legal advisory services to RWE Power AG and Swiss Alpiq Group in connection with the development of a 1000 MW combined cycle power plant located in the Czech Republic;
  • Representing HSBC Bank plc in connection with the provision of a bank guarantee facility for the purposes of the issuance of bank guarantees in connection with the completion of the nuclear power plant in Mochovce, Slovakia by ŠKODA JS a.s., a Czech nuclear power plant EPC contractor. Our assignment further included extensive review and negotiations of the Engineering, Procurement and Construction Contract for the delivery of nuclear islands for the two new units of the Mochovce nuclear power plant;
  • Assistance to the Municipality of Prague regarding the review of the existing contractual documentation relating to the biggest single public construction contract and the biggest single infrastructure project - the construction of the longest vehicular tunnel in the Czech Republic and the longest city tunnel in Europe – from the perspective of the perspective of pricing arrangements and internal city administration;
  • Advising ČEZ in their participation in a tender for the construction of new gas fired power plants in Moscow together with a Russian business partner.
