Practice Experience
Ms. Han has experience in banking, corporate finance and debt restructuring. She advises banks and other financial institutions on general banking matters, syndicated and bilateral loans (both secured and unsecured) and trade finance structuring and documentation. She also advises debtors on complex global restructuring transactions.
Ms. Han has acted for arrangers, lenders and borrowers on secured and unsecured cross-border lending transactions, acquisition finance, property finance and debt restructuring.
Examples of her recent experience includes representing:
Sumitomo Mitsui Banking Corporation as arranger and lender in a US$123 million financing to Lone Star Fund VI, which is the latest of a series of "Lone Star" brand closed end private equity funds that specialises in distressed investments, non performing loans, real estate and select corporate opportunities globally. Its investors include various sovereign wealth funds;
Credit Suisse, Singapore Branch, Deutsche Bank AG, Hong Kong Branch and J.P. Morgan Securities (Asia Pacific) Limited as joint mandated lead arrangers of the US$600 million credit facility provided by a syndicate of lenders to MMI International Ltd., a Labuan company formed by Kohlberg Kravis Roberts funds and certain management to take private MMI Holdings Limited, a Singapore publicly listed company. This is one of the largest public to private leveraged buyout financing transaction in Singapore to-date;
Asia Pulp & Paper Group with respect to the worldwide restructuring of approximately US$14 billion in debt. This is the largest and most complex debt restructuring undertaken in Asia, given the size and diversity of the creditor group, which includes sovereign Governments, commercial banks and other institutions and trading houses;
Deutsche Bank AG in a US$225 million multi-jurisdiction financing transaction which involves banking facility and issuance of warrants;
Deutsche Bank AG in various multi-jurisdiction structured finance transactions which involve bank loans, issuance of bonds and warrant instruments;
China Development Bank in cross-border telecom equipments financing transactions in various developing countries;
DBS in financing major property projects in Singapore; and
A major Chinese confectionery company in its initial public offering in Singapore.
