Practice Experience
Mr. Wang concentrates in cross-border corporate and financial transactions in the United States, Asia, Middle East and other jurisdictions, particularly those relating to the development and financing of large infrastructure projects in the power, water, oil, gas, petrochemicals and renewable energy industries. As an attorney qualified in both New York and China, he advises clients including sovereign governments, state-owned enterprises and financial institutions in a wide range of areas, including project finance, joint ventures, mergers and acquisitions and structured finance.
His representative transactions include:
- Representing China Development Bank on two loans, together valued at over US$20 billion, to Venezuela's Banco de Desarrollo Económico y Social de Venezuela (BANDES). The financing is one of the largest that CDB has extended to any one country;
- Representing Saudi Aramco (the Saudi Arabian state-owned oil company) in the development of third party projects to supply water, steam and power to the proposed integrated refinery and petrochemical joint venture between Saudi Aramco and The Dow Chemical Company in Saudi Arabia;
- Representing Saudi Aramco in connection with the establishment of a US$10 billion joint venture with Total, S.A. to develop and operate an export refinery in Jubail, Saudi Arabia;
- Representing Saudi Basic Industries Corporation (SABIC) in connection with its US$3.3 billion joint venture with China Petroleum & Chemical Corporation (Sinopec) to acquire and operate a new petrochemical complex adjacent to Sinopec's existing refineries in the coastal municipality of Tianjin, China;
- Representing China Development Bank in connection with a US$1.5 billion credit facility to the Republic of Angola, acting through the Ministry of Finance;
- Representing Essar Steel as the sole developer on a US$2 billion greenfield iron and steel project being developed at Point Lisas Industrial Estate, Couva, Trinidad and Tobago;
- Representing the Abu Dhabi Water & Electricity Authority (ADWEA) in relation to the US$2.9 billion project financing of the Taweelah B independent water and power project (IWPP project). The transaction includes the financing of the acquisition from an ADWEA subsidiary of an existing 1,070 megawatt (MW) and 95 million imperial gallons per day (MIGD) power generation and seawater desalination plant, the construction by the purchaser of a 1,045 MW and 69 MIGD plant extension, and the operation of the integrated facility situated at the Taweelah complex in the Emirate of Abu Dhabi;
- Representing ADWEA in relation to the US$1.5 billion project financing of the Fujairah IWPP project. The transaction includes the financing of the acquisition from an ADWEA subsidiary of an existing 535 MW and 100 million MIGD power generation and seawater desalination plant, the construction by the purchaser of a 225 MW plant extension, and the operation of the integrated facility situated at Qidfa in the Emirate of Fujairah, United Arab Emirates;
- Representing the sponsors on the US$11.2 billion Qatargas II (a project developed by Qatar Petroleum, ExxonMobil and Total S.A.), Qatargas 3 (a project developed by Qatar Petroleum and ConocoPhillips) and Qatargas 4 (a project developed by Qatar Petroleum and Shell Petroleum) LNG projects located at the Qatargas LNG complex in Qatar;
- Representing BNP Paribas and other senior lenders in connection with the US$230 million financing of two 115 million gallon ethanol facilities located in Minnesota and Nebraska;
- Representing a US sponsor in connection with its proposed bid to develop a new gas-fired 30 MW power plant at Port-au-Prince, Haiti on a build-own-operate basis, which will be the Republic of Haiti's first independent power producer project; and
- Representing Asia Pulp & Paper Company in connection with the deregistration of its common stocks from the New York Stock Exchange and subsequent debt restructuring.
