Micah was part of the team which advised on the acquisition of a 10 percent interest in the petroleum licenses covering the Wheatstone/Iago gas fields located off the shores of Western Australia, and an 8 percent interest in the related Wheatstone Liquefied Natural Gas (LNG) facility, by the joint venture entity PE Wheatstone Pty Ltd. During this complex, four-year project, Micah advised clients on all aspects of long-term LNG procurement, including confidentiality arrangements, key term sheets, heads of agreement, LNG sale and purchase agreements, extensions, amendments and price reviews. The transaction set an important precedent in terms of partnership between LNG sellers and buyers, cooperation among Japanese corporates, and participation by the Gas and Metals National Corporation and JBIC.

Micah successfully negotiated a long-term petroleum product offtake agreement on behalf of a creditor/offtaker, which was used to underpin the debt restructuring of a private Indonesian debtor/supplier.

Micah represented Japanese trading companies and utility companies on all aspects of master LNG spot sale and purchase agreements and related transactions, including the use of master LNG spot sale and purchase agreements for short-term multi-year procurements, and various back to back transactions.
