Alpha Trains' rolling stock acquisition
Alison worked as part of the team of the Firm's lawyers which advised European rolling stock operating lessor Alpha Trains on the acquisition of 202 rolling stock assets from The Royal Bank of Scotland PLC (RBS), in a combined asset and share sale transaction. The assets had been managed by Alpha Trains on behalf of RBS since a consortium of investors acquired Alpha Trains from RBS in 2008. The transaction's financing, security package and sale mechanics were particularly complex, due to the number of assets involved and the cross-border nature of their operation.

Debt-financing transactions relating to aircraft
Alison acted for international financial institutions in debt-financing transactions relating to aircraft on both finance and operating leases.

Sharia-compliant financings with a Malaysian airline
Alison represented a Malaysian financial institution in sharia-compliant financings with a Malaysian airline, as well as in subsequent arrangements relating to a Sukuk issue.

Alison negotiated servicing and management agreements in relation to debt financings.

Acting for a marine company in respect of the refinancing of a portfolio of vessels pursuant to an Islamic murabaha arrangement (including vessels registered in Nigeria and Tanzania).

Acting for a leading Northern European ship financing bank in respect of a US$1.7bn refinancing of a company’s existing debt, secured by the company's offshore vessels.
