Overview

Jason Krause is an associate in the Mergers and Acquisitions Practice Group, and is resident in the New York office. Mr. Krause focuses on the representation of corporate clients and private equity funds in connection with domestic and global mergers, acquisitions and equity investments in a broad range of industries. He also provides general corporate and corporate governance advice.

Recent transactions include the representation of:

Sempra Energy (NYSE: SRE), a Fortune 500 energy services holding company, in the; sale of its equity interests in its Peruvian businesses, including its 83.6% stake in Luz del Sur, to China Yangtze Power International (Hongkong) Co., Limited for US$3.59 billion in cash. The transaction was named "M&A Deal of the Year" by China Business Law Journal in 2020; and; sale of Chilean businesses, including its 100 percent stake in Chilquinta Energía S.A., to State Grid International Development Limited (SGID) for US$ 2.23 billion in cash.  The transaction was named "M&A Deal of the Year" by China Business Law Journal in 2020.

Blue Water Energy (BWE) in the acquisition of a 60 percent stake and Jim Nixon in the acquisition of a 10 percent stake in Varel International Energy Solutions (Varel) from Sandvik, the Swedish conglomerate, for an enterprise value of US$130 million.

Qatar Investment Authority (QIA), the sovereign wealth fund of the State of Qatar, in its co-investment with a consortium led by Tencent Holdings Ltd. and its affiliate Tencent Music Entertainment Group (NYSE: TME) in an agreement to acquire 10% of the equity of Universal Music Group, the world's largest music company, from Vivendi S.A., with an option to subsequently acquire additional equity.

Quad-C Management, Inc., and its portfolio companies, in its sale of WWEX Investment Holdings, LLC, one of the largest authorized resellers of express shipping for UPS; and Vaco Investor Holdings LLC, a leading executive search, consulting, placement and strategic staffing firm, in the auction sale of Vaco to Olympus Partners. 

WWEX Franchise Holdings, LLC, a portfolio company of Quad-C Management Inc. and provider of global air and ground shipping services for small and medium-sized businesses, on its acquisition of 11 franchisees. 

Havas Creative, Inc., a leading creative agency network, in its acquisition of a majority stake in Republica Havas, LLC, one of America's leading and fastest-growing independent multicultural advertising and communications agencies, based in Miami, Florida. 

GSO Capital Partners LP in its acquisition of a minority interest in iAero Group Holdco LLC and the subsequent acquisitions by iAero Group of Miami Tech Aircraft Maintenance, Inc., the AeroThrust group of companies, and New Swift Air Holdings, L.L.C. 

Nestle S.A., one of the world's leading consumer foods companies, in its acquisition of a majority stake in Terrafertil, a natural foods company and leading global producer of goldenberries. 

Vaco Healthcare LLC, the healthcare IT division of Vaco Holdings, LLC, which offers consulting, contract and direct-hire solutions in the areas of accounting, finance, technology, healthcare, operations and general administration and is a portfolio company of Quad-C Management, in its acquisition of the assets of Pivot Point Consulting, LLC, a Seattle-based healthcare IT consulting leader providing implementation, optimization, project management, legacy support and strategic advisory services nationwide. 

Hyundai Mobis Co. Ltd., a Korea-based supplier of automotive parts used in Hyundai and Kia automobiles, on an exclusive license arrangement with Krell Licensing LLC, holder of trademarks related to Krell Industries LLC, a US designer and manufacturer of super-premium home and professional audio systems and components, to secure the right to use the Krell trademarks. 

Dominus Capital LP, a leading middle-market private equity firm, in its sale of On Campus Marketing, the largest provider of affinity programs for universities and colleges across the United States, selling a diversified group of products including staples such as custom-sized linens, personalized diploma frames and care packages. 

InterWrap Holdings Inc., a leading manufacturer of roofing underlayment and packaging materials, in its US$450 million sale of all of InterWrap's directly and indirectly held equity interests to a wholly owned subsidiary of Owens Corning, a leading developer, manufacturer and marketer of insulation, roofing and fiberglass composites. 

Bambora Group, a portfolio company of Nordic Capital and a leading player within the payments industry, with its strategic acquisition of Beanstream Internet Commerce ULC, a provider of card-not-present, payment processing, risk management and authentication services. 

CVC Capital Partners in leading a consortium including Temasek Holdings and Vatera Healthcare Partners in their acquisition of a controlling stake in Alvogen, a leading generic pharmaceuticals company. 

Ciner Group, a Turkish conglomerate involved in the energy, mining, shipping and media industries, in its acquisition of OCI Chemical Corporation from an affiliate of OCI Company Ltd., a publicly listed company on the Korea Exchange (KRX: OCI). 

Anthem, Inc., one of the nation's largest health benefits companies, in its acquisition of Simply Healthcare Holdings, Inc., which, through its two subsidiaries, Simply Healthcare Plans, Inc. and Better Health, Inc., is a leading managed care company for people enrolled in Medicaid and Medicare programs in the state of Florida.
