Practice Experience
Mr. Kritzalis joined White & Case as a partner in 1989. He resided and practiced in Saudi Arabia for a total of 17 years, from 1976 to 1986 with his prior firm and from 1989 to 1995 in White & Case's affiliated Jeddah office where he was the administrative partner. He assisted in establishing the Firm's affiliated Riyadh office in 1993 and its Abu Dhabi office in 2007. He has particular experience in practicing throughout the Middle East. Mr. Kritzalis is a member of the Firm's Energy, Infrastructure and Project Finance Practice Group, Privatization Practice Group and Middle East Practice Group.
Mr. Kritzalis engages in general corporate practice with particular emphasis on international commercial and financial transactions. In the course of more than 38 years of practice, Mr. Kritzalis has represented numerous sovereign, multinational and Middle Eastern clients in a wide variety of transactions including cross-border investments, equity and contractual joint ventures, mergers, acquisitions, and divestitures, engineering and construction projects, project financings and privatizations. Recent transactions in which Mr. Kritzalis has been involved include:
- Advising the Abu Dhabi Water & Electricity Authority (ADWEA) as lead counsel in connection with its ninth project involving the development at the Shuweihat complex on the Arabian Gulf coast approximately 250 kilometers southwest of the City of Abu Dhabi in the Emirate of Abu Dhabi of the 1,600 MW Shuweihat S3 independent power project (IPP) together with a 400 kV grid station and associated facilities. This US$1.5 billion transaction achieved financial close in May 2011 and the new plant is scheduled to enter full commercial operation by March 2014. This transaction was selected as "2011 Middle East Project Finance Deal of the Year" by International Financial Law Review;
- Advising a major publicly-traded Saudi Arabian joint stock company in connection with the exchange by major shareholders of their respective equity stakes in two subsidiaries for new shares in the parent to be issued, subject to Saudi Arabian regulatory approvals, upon increases of the parent's share capital valued at approximately US$123 million;
- Advising ADWEA as lead counsel in connection with its eighth independent water and power producer (IWPP) project involving development at the Shuweihat complex of the Shuweihat S2 power generation and seawater desalination plant with associated facilities having net capacities of approximately 1,500-1,600 MW and 100 MIGD, adjacent to ADWEA's third IWPP, the Shuweihat S1 plant, which entered commercial operation in 2005. This US$2.6 billion transaction, which achieved financial close in October 2009, was recognized as "2009 Middle East Africa Gulf Power Deal of the Year" by Project Finance International;
- Advising a North American power developer and its affiliates in connection with arrangements for the long-term operation and maintenance of a 250 MW hydroelectric power station and associated facilities in East Africa;
- Advising ADWEA as lead counsel in connection with ADWEA's seventh IWPP project procured on a competitive basis, the Fujairah F2 IWPP project, involving development of a greenfield 2,000 MW and 130 MIGD power generation and seawater desalination plant and associated facilities in the Emirate of Fujairah, reported to be the largest IWPP in the world. This US$2.75 billion transaction achieved financial close in December 2007 and the plant entered full commercial operation in January 2011;
- Advising ADWEA as lead counsel in connection with the negotiated 250 MW capacity extension and US$1.1 billion refinancing of the Taweelah A1 IWPP Project (ADWEA's second IWPP project which achieved financial close in December 2000 and commercial operation in April 2003), which capacity extension and refinancing achieved financial close in February 2007;
- Advising ADWEA as lead counsel in connection with its sixth IWPP project and fourth asset sale in the sector procured on a competitive basis, the Fujairah F1 IWPP project, involving the US$1.3 billion sale of an existing power generation and seawater desalination plant in the Emirate of Fujairah owned by an ADWEA subsidiary, Union Water & Electricity Company (UWEC), having 535 MW and 100 MIGD of installed capacity, and the addition of about 225 MW of new capacity, which US$1.5 billion financing transaction achieved financial close in November 2006;
- Advising ADWEA as lead counsel in connection with the Taweelah B IWPP project, Abu Dhabi's fifth IWPP project and third asset sale in the sector, involving the sale of an existing power generation and seawater desalination plant at the Taweelah complex approximately 80 kilometers northeast of the city of Abu Dhabi having 928 MW and 92 MIGD of installed capacity, and the construction of an extension so as to provide together about 2,000 MW and 160 MIGD of capacity. This US$3 billion transaction, which achieved financial close in July 2005, was recognized as "Desalination Deal of the Year" for 2006 by Global Water Intelligence;
- Advising ADWEA as lead counsel in connection with the Umm Al Nar IWPP project, Abu Dhabi's fourth IWPP project and second asset sale in the sector, involving the sale of adjacent desalination and power generation plants having a combined 1,040 MW and 165 MIGD of existing capacity, the addition of about 1,450-1,550 MW and 25 MIGD of new capacity, and the phased decommissioning of an obsolete plant such that, after decommissioning, the total capacity of the new plant will be about 1,450-1,550 MW and 95 MIGD. This US$1.78 billion transaction, which achieved financial close in July 2003, was recognized as the "2003 Water/Power Deal of the Year" for the Middle East by Project Finance;
- Advising ADWEA as lead counsel in connection with the Shuweihat S1 IWPP project, Abu Dhabi's third IWPP project, involving the development of a greenfield power generation and water desalination plant at a site near Jebel Dhana, 250 kilometers west of the city of Abu Dhabi, intended to add 1,500 MW of power capacity and 100 MIGD of water production capacity to the emirate's transmission system. This US$1.6 billion transaction, which achieved financial close in December 2001, was recognized as the "2001 Water/Power Deal of the Year" for the Middle East by Project Finance;
- Advising ADWEA as lead counsel in connection with Abu Dhabi's second IWPP and first asset sale in the power and water sector, involving the sale, rehabilitation and upgrading of the existing 250 MW and 30 MIGD Taweelah A1 power generation and water desalination plant and the addition of about 1,100 MW and 54 MIGD of new capacity. This US$1.463 billion transaction, which achieved financial close in December 2000, was recognized as the "2000 Power Deal of the Year" for Europe, the Middle East and Africa by Project Finance, and "IFR Europe, Middle East and Africa Project Finance Loan of the Year" by International Financing Review; and
- Advising ADWEA in connection with the Taweelah A2 desalination/power project developed on a BOO basis to generate 710 MW and produce 50 MIGD of potable water. This US$750 million transaction, which was the world's first independent water and power producer (IWPP) project, achieved financial close in April 1999 and entered commercial operation in October 2001. This transaction was recognized as the "1999 Power Deal of the Year" for Europe, the Middle East and Africa by Project Finance International and "1999 Water/Power Deal of the Year" for the Middle East by Project Finance.
Mr. Kritzalis has also represented sovereigns, sponsors, project owners, lenders and contractors in connection with the development of a wide variety of projects including chemical, petrochemical, industrial, agro-industrial, mining, power generation and rural electrification projects in the Middle East.
