Practice Experience
Allan Taylor is a partner in the Corporate Department in the London office. Allan has experience in UK and international mergers and acquisitions, equity capital markets, joint ventures and private equity transactions. He also advises generally on UK corporate governance matters. Allan regularly acts for both issuers and underwriters on initial public offerings, including London and dual exchange listings. He has written extensively on matters relating to listing companies on the London Stock Exchange, including co-authoring the Exchange's Guide to Listing Depositary Receipts, and is a contributing editor to the materials prepared by Practical Law on the Alternative Investment Market.

  • Representing Afren plc (a pan-African oil and gas business) on its US$100 million acquisition of Black Marlin Energy;
  • Representing Life HealthCare Group, a South African healthcare business, on its US$800 million IPO and listing on the Johannesburg Stock Exchange;
  • Representing Orascom Telecom Holding on its US$800 million rights offering of shares and GDRs;
  • Representing Bank of America Merrill Lynch, ING Bank and Mirabaud Securities on the US$100 million initial public offering of Exillon Energy plc (a Russian oil and gas business);
  • Acting for Afren plc on its move from AIM to the Official List and related US$200 million placing of new shares;
  • Advising Aurora Russia Limited on its £12 million follow-on investment in OSG Records Management and secondary issue of new shares;
  • Advising Claremont Holdings Limited on its US$200 million sale of GDRs in Zhaikmunai LP;
  • Acting for Zhaikmunai LP (a Kazakh oil and gas business) on its US$300 million secondary offering of new GDRs on the London Stock Exchange;
  • Advising TNK-BP on its proposed accelerated book build and stakebuilding offer for shares in Sibir Energy plc;
  • Representing Afren plc on its US$125 million secondary offering of new shares;
  • Acting for MDM Bank on its merger with Ursa Bank to create the second largest private bank in Russia;
  • Advising Aurora Investment Advisors as investment manager on the formation of the Aurora II private equity fund;
  • Acting for Qatar Investment Authority on its US$6 billion investment in Credit Suisse;
  • Representing Strauss Group Limited on the acquisition by TPG of 25.1% of Strauss Coffee NV;
  • Representing Hoare Govett and Merrill Lynch International as underwriters on the US$600 million rights issue by Imperial Energy Corporation plc;
  • Advising BMO Nesbitt Burns and Canaccord Adams as placing agents on the US$160 million secondary offering by Polo Resources Limited on the Alternative Investment Market;
  • Acting for Silkroute Financial Limited, an investment bank focused on financial institutions in CEE on its formation and initial investments;
  • Representing Zhaikmunai LP on its US$100 million initial public offering and listing of GDRs on the London Stock Exchange;
  • Representing Aurora Russia, an AIM listed private equity company, on its acquisitions of interests in Unistream (a Russian money transfer business), OSG Records Management and Invest Variant (a Russian DIY stores business);
  • Representing IdaTech plc, a fuel cells business, on its initial public offering and admission to the Alternative Investment Market;
  • Acting for Luvata, a company owned by Nordic Capital, on its acquisition of Eco, a heating controls business;
  • Acting for Tau Capital plc, an investment fund, on its admission to the Alternative Investment Market and US$250 million placing;
  • Acting for BMO Nesbitt Burns as placing agent on the US$60 million placing of new shares and admission to AIM of UraMin Inc and subsequent US$230 million secondary offering;
  • Representing Ablon Group, a Central and Eastern European real estate development company, on its initial public offering and admission to the Alternative Investment Market; and
  • Representing JSC KazMunaiGas Exploration and Production on its US$2 billion initial public offering and listing on the Kazakh and London Stock Exchanges.
