Practice Experience
Denise Diallo is a member of White & Case's Global Banking Practice. Denise commenced her career in the firm's New York office in 2000 prior to joining the firm's Paris office in 2007.
In both New York and Paris she has counseled clients on a wide range of lending and other corporate finance transactions, including syndicated leveraged financings, mezzanine financings, investment grade or corporate unsecured financings, cash-flow and asset-based loans and the complex intercreditor issues raised by senior and subordinated debt structures.
She advises private equity funds, banks and other institutional investors in connection with their investments in both private and publicly traded companies. In addition, Denise has advised creditors and debtors on debt restructurings and debtor-in-possession financings and has counseled clients in financings involving tender offers and public securities offerings.
Recent representative transactions include:
- advising the arranger in relation to the financing of the acquisition by a large European private equity fund of a portfolio of debt and equity fund assets;
- advising the mandated lead arrangers in connection with the financing of the €500 million acquisition of a leading group of the medical biologist laboratories;
- advising a French bank in connection with a U.S. margin loan, counseling a syndicate of banks in connection with the €1.5 billion term and bridge loan financing of the demerger of the services activity of a major French hotel group;
- representing a bank syndicate in connection with the negotiation of the partial restructuring of a leading French paints and aluminates company's €1.945 senior, second-lien and mezzanine debt package;
- acting for a leading French hotel group and its private equity investor in connection with the renegotiation of its €1.3 billion secured loan facilities and;
- representing a sovereign in connection with a $200 million Eurobond issuance.
