Practice Experience
David Johansen is a member of the securities practice group and focuses on securities offerings, restructurings and general corporate law.
Mr. Johansen has represented numerous U.S. and non-U.S. issuers, underwriters and other participants in U.S. registered public offerings, U.S. offerings under Rule 144A, private placements and offerings outside the United States under Regulation S. He has also assisted issuers in the filing and maintenance of shelf registration statements, including universal shelf registrations, and in the setting up of medium-term note programs.
In other securities law work, Mr. Johansen frequently advises both U.S. and non-U.S. issuers that are public companies in the United States with respect to their ongoing disclosure obligations under the U.S. federal securities laws, including requirements under the Sarbanes-Oxley Act, and their compliance with the rules of the New York Stock Exchange and the Nasdaq National Market. He regularly assists issuers, including Ahold, in the preparation of their annual reports and other U.S. filings. He works with many issuers on corporate governance issues.
Mr. Johansen has worked on restructurings and on business acquisitions, including cross-border public tender offers, exchange offers, and mergers.
Recent transactions include:
Offerings of an aggregate of $225 million of senior unsecured notes by Grupo Posadas;
Ahold’s EUR3bn rights issue;
Represented JP Morgan, as joint bookrunner, in the issuance of $325 million of securitization notes, backed by diversified payment rights from a Turkish bank;
The restructuring of United Pan-Europe Communications N.V. (“UPC”) in a cross-border restructuring accomplished through dual Dutch and US plenary insolvency proceedings; and
Harvest Partners’ acquisition of Associated Materials Inc.
