Practice Experience
David Koschik is a member of White & Case's Executive Committee and head of the Firm's Americas Banking Section. He also serves as Chair of the Americas Operations Council.

Mr. Koschik’s practice focuses on the representation of major commercial and investment banks in lending transactions, and in acquisition and highly-leveraged financings in particular. He has served as senior bank lenders' counsel in connection with many acquisitions and highly leveraged financing transactions. Mr. Koschik also represents lenders and borrowers in workouts and restructurings. As lead counsel for the agent/arranger banks, he is involved in all aspects of the deal structure, negotiation and documentation, including issues of fraudulent conveyance, collateral and the relationships between senior and subordinated lenders.

Mr. Koschik is recognized in numerous guides to the profession as a leading practitioner in the banking and finance field, including Chambers USA 2011 and the US edition of The Legal 500 2011. He joined White & Case after his graduation from law school in 1984.

Examples of recent transactions Mr. Koschik has advised on include:
  • Representation of Hess Corporation, as Borrower, with respect to a $4 billion unsecured revolving credit facility.
  • Representation of WellPoint, Inc.as Borrower in connection with a $2 billion, three year, unsecured, investment grade, revolving credit facility.
  • Representation of Deutsche Bank in connection with a $1.2 billion senior secured financing provided to Trans Union LLC. The proceeds were used in part in connection with the acquisition of a majority of the outstanding equity interests in TransUnion Corp. by Madison Dearborn Partners, LLC. The financing consisted of a $950 million term loan and $200 million revolving credit facility and was provided in conjunction with the issuance of $645 million of senior notes.
  • Representation of Deutsche Bank AG New York Branch as Administrative Agent, and Deutsche Bank Securities Inc. as Joint Lead Arranger and Joint Book Runner with respect to a $650 million ABL Revolving Facility to Smurfit-Stone Container Corporation and certain of its subsidiaries in connection with their emergence from Chapter 11 bankruptcy proceedings.
