A US-qualified counsel working in the London office’s Capital Markets group, Doron Loewinger advises on equity and debt capital markets, sovereign bonds and liability management.

Overview

Doron's practice focuses on the developing and emerging markets. He offers clients more than 15 years' experience in representing issuers and underwriters in US and cross-border private and public capital market transactions, including registered and unregistered offerings of equity, senior and high-yield debt and hybrid securities. He has also developed a significant track record in the area of liability management transactions, bringing knowledge and insight to complex cross-border tender offers, exchange offers, consent solicitations and other debt and equity restructurings.

Equity Capital Markets:

US$311 million IPO for Russian healthcare group
Doron represented MD Medical Group Investments Plc, Russia's leading provider of private healthcare for women and children. He advised on its US$311 million initial public offering (IPO) of global depositary receipts (GDRs) and their admission to the Official List of the London Stock Exchange (LSE).

Largest ever domestic share offering in Russia
In the largest domestic offering of shares in Russia to date and the largest IPO of a stock exchange since 2007, Doron represented a large group of financial underwriters. The deal concerned the RUB15 billion privatisation and IPO of the Open Joint Stock Company Moscow Exchange MICEX-RTS and the listing of its shares on the CJSC MICEX Stock Exchange.

US$2 billion privatisation, IPO and listing
Doron represented Jastrzebska Spolka Weglowa S.A (JSW), Europe's largest producer of high-quality coking coal. He advised on its US$2 billion privatisation, initial public offering and listing on the Warsaw Stock Exchange.

Debt Capital Markets:

Unsecured Turkish bank bond offering
In the first senior unsecured bond offering by a Turkish private bank since early 2011, Doron represented Yapı ve Kredi Bankası A.Ş. in its issuance of US$500 million, 6.75% Notes, due 2017, under Rule 144A/Regulation S.

Hybrid emerging market issuance
Doron represented UBS, Bank of America Merrill Lynch and Royal Bank of Scotland as underwriters of US$250 million Reg S/144A hybrid emerging markets/high-yield Eurobonds by Mriya Agro Holding Public Limited.

Sovereign bonds:

US$1 billion sovereign offering and sale
Doron acted for the State Treasury of the Republic of Poland on the offering and sale of US$1 billion, 5.000% notes, due 2022. The transaction involved re-opening the Republic of Poland's existing US$2 billion, 5.000% notes, due 2022, which were issued in November 2011.

Debut US$1 billion bond for Republic of Serbia
Doron represented the joint lead managers on the Republic of Serbia's debut US$1 billion Reg S/144A bond. This was the Republic's first issuance since achieving independence.

Debut US$500 million sovereign bond for Namibia
Doron advised the Republic of Namibia on its debut issuance of a US$500 million Reg S/144A sovereign bond.

Liability Management:

Largest debt restructuring in Ukraine banking history
Doron represented UBS and HSBC as joint dealer managers in the successful US$1.055 billion exchange offer and consent solicitation by Alfa-Bank Ukraine. This transaction was the largest debt restructuring in Ukraine banking history.

Eurobond restructuring of top Ukraine bank
Doron acted for UBS, as solicitation agent, on the Eurobond restructuring of VAB, one of Ukraine's leading banks.
