Practice Experience
Doron Loewinger is a US qualified partner in the firm's Capital Markets Group in London. He has extensive experience advising on debt and equity capital markets transactions, and on liability management transactions, with a primary focus on developing and emerging markets. He is also the Chairman of the firm's London US Securities Policy Committee, and as such is responsible for the implementations of policies and procedures aimed to ensure the quality and consistency of US securities law related advice. Doron joined White & Case in September 2007 from a leading US law firm, having practiced seven years in their New York office and one year in their Singapore office. Prior to that, he practiced in one of Israel's leading law firms for four years.
Doron has more that 15 years of experience representing both issuers and underwriters in a wide range of US and cross-border private and public capital markets transactions, including registered and unregistered offerings of equity, senior and high-yield debt and hybrid securities.
He also has extensive experience representing both issuers and managers in a wide range of liability management transaction, including complex cross-border tender offers, exchange offers, consent solicitations and other debt and equity restructurings.
Selected Experience
Equity Capital Markets:
- represented Jastrzebska Spolka Weglowa S.A (JSW), Europe's largest producer of high quality coking coal, in connection with its US$2 billion privatisation, initial public offering and listing on the Warsaw Stock Exchange;
- acting as transaction counsel in connection with the initial public offering and Warsaw Stock Exchange listing of Industrial Milk Company S.A., an agricultural business located in northern and central Ukraine;
- acting as transaction counsel in connection with the initial public offering and Warsaw Stock Exchange listing of shares of Agroton Public Limited, the largest agriculture producer in eastern Ukraine;
- representing Deutsche Bank, as lead underwriter in the €500 million rights offering by BRE Bank S.A.;
- representing HSBC, as lead underwriter in the €250 million rights offering by Bank Millennium;
- representing Deutsche Bank and ING in connection with the €150 million proposed initial public offering and Warsaw Stock Exchange listing of AFI Europe, a real estate investment and development group operating in Central Eastern Europe and South Eastern Europe;
- represented JP Morgan as sole book-runner in the €50 million accelerated book-built sale of shares of TVN S.A.;
- representing Deutsche Bank, as lead underwriter in the privatization and initial public offering of Turk Telecom, Turkey's leading telecommunication group;
- represented Orascom Telecom Holding S.A.E., one of Egypt's leading telecommunication groups, in connection with its rights offering and offering of new shares and GDRs;
- acting as U.S. counsel to Max Petroleum plc, in connection with its follow on offer of ordinary shares; and
- acting as U.S. counsel to Necondezi Coal Company Limited, in connection with its US$30 million follow-on offering of ordinary shares.
Debt Capital Markets:
- represented Turkish bank Yapı ve Kredi Bankası A.Ş. in its issuance of U.S.$500 million 6.75% Notes due 2017 under Rule 144A/Regulation S, the first senior unsecured bond offering from a Turkish private bank since the first half of 2011, and the first issue of 2012 by a private bank in Central and Eastern Europe;
- representing Kredi Bankasi A.S., one of Turkey's leading banks in connection with its issuance of US$750 million Reg S/144A Eurobonds;
- representing UBS, Bank of America Merrill Lynch, and Royal Bank of Scotland, as underwriters in connection with the issuance of US$250 million Reg S/144A hybrid emerging markets/high-yield Eurobonds by Mriya Agro Holding Public Limited;
- representing UBS, VTB, Dragon Capital, BZ WBK and Jaspen Capital, as managers in connection with the issuance US$50 million Reg S hybrid emerging markets/high-yield Eurobonds by Agroton Public Limited;
- representing UBS and BNP and underwriters in connection with the issuance of Reg S/144A Eurobonds by Bank St' Petersburg; and
- represented Credit Suisse, Goldman Sachs and JP Morgan in connection with the establishment of a US$5 billion GMTN Programme for Bank of Moscow and an issue of US$750 million senior unsecured loan participation notes thereunder.
Sovereign Bonds:
- represented the State Treasury of the Republic of Poland in connection with the offering and sale of U.S.$1 billion principal amount of 5.000% Notes due 2022 - a re-opening of the Republic of Poland’s existing U.S.$2 billion 5.000% Notes due 2022 issued on November 3, 2011;
- represented the Joint Lead Managers on the Republic of Serbia's debut US$1 billion Reg S/144A bond, its first issue since achieving independence;
- representing the Republic of Namibia in connection with its debut issuance of US$500 Million Reg S/144A sovereign bond;
- represented the Republic of Senegal in connection with its issue of US$500 million Reg S/144A Notes due 2021; and
- represented the State Treasury of the Republic of Poland in connection with updating its US shelf registration statement and various take downs thereunder.
Liability Management:
- represented UBS and HSBC as joint dealer-managers in the successful US$1.055 billion exchange offer and consent solicitation by Alfa-Bank Ukraine, the largest debt restructuring in the Ukraine banking sector's history;
- represented UBS as solicitation agent in connection with the Eurobond restructuring of VAB, one of Ukraine's leading banks;
- represented UBS as solicitation agent in connection with the consent solicitation to amend loan participation notes of Bank Nadra;
- representing Standard Bank in connection with the consent solicitation to amend loan participation notes of First International Ukrainian Bank (FUIB);
- represented the Republic of Senegal in connection with its successful exchange offer to noteholders of its existing US$200 million Reg S Notes due 2014, for new Reg S/144A notes due 2021; and
- representing J.P. Morgan as dealer manager on the exchange offer and consent solicitation relating to the Republic of Côte d'Ivoire's outstanding US dollar and Euro denominated Brady Bonds.
