Overview

Eric Klar, a partner in the Firm's Debt Finance practice and co-head of the US Private Credit & Direct Lending pillar, primarily focuses on advising major financial institutions and private lenders in complex corporate finance transactions, including leveraged buyouts, acquisition financings and recapitalization transactions. Eric's clients include leading investment and commercial banks, direct lenders, private credit funds and business development companies, such as Bank of Montreal, Deutsche Bank, Jefferies Finance, Antares Capital, Ares Capital, Benefit Street Partners, CION Investment Corp., MidCap Financial and Varagon Capital Partners.

Closely involved in all aspects of deal structure, negotiation and documentation, his record of accomplishment is testament to his commitment to helping clients to achieve their goals. Drawing on his knowledge of the sector, he has helped numerous clients to navigate the intricacies of large-scale and multijurisdictional deals.

Eric also draws upon his successful career in a range of business settings. Prior to joining White & Case, he was a Managing Director in the Leveraged Finance Group of a global financial institution, and the President and CEO of a military aircraft parts distribution company.

Experience

Representation of a large financial institution, as administrative agent, collateral agent and lead arranger, in connection with the extension of senior secured credit facilities for US$630 million, comprised of a US$300 million term loan facility, a US$290 million delayed draw term loan facility and a US$40 million revolving credit facility. The facilities were used to refinance existing debt for a leading payments technology organization and provide financing for the acquisition of a fintech company.

Representation of a large global financial institution, as lead arranger, administrative agent, and lender, in connection with a senior secured facility made available to a global designer and manufacturer of thermal systems ("Company"). The financing involved a US$515 million first lien term loan facility and a US$50 million revolving credit facility. The proceeds financed the acquisition of the Company by a private equity firm that manages manufacturing and industrial technology companies.

Representation of a prominent private credit lender in connection with a US$325.6 million senior secured financing to enable a private equity firm in acquiring a minority interest in a US and Canadian consulting and venture firm specializing in life sciences, healthcare start-ups and growth companies.

Representation of a large financial institution as lead arranger and lender, with a senior secured facility provided to a national services staffing company. The financing consisted of a US$155 million term loan, a US$30 million delayed draw term loan and a US$20 million revolving credit facility.
