Guan Feng Chen is a partner in our Banking, Capital Markets & Restructuring Practice with over 13 years of experience in cross-border financings and private corporate debt restructurings. He is qualified to practice both English and Singaporean law.

Guan Feng is based in our Singapore office, and has also previously been based in White & Case's Hong Kong and London offices.

Recent examples of his experience include representing: 
  • Bayan Resources in its largest financing to date, a US$750 million term loan (with an option to increase it to US$950 million), for refinancing debt and funding corporate and working capital requirements as well as expansion opportunities. Bayan is one of Indonesia's biggest coal producers listed on the Jakarta Stock Exchange. The lenders are Sumitomo Mitsui Banking, ANZ, Bank Mandiri, HSBC, Standard Chartered Bank, JP Morgan and Natixis. We also previously advised Bayan in a US$185 million bridge financing from Standard Chartered Bank, Singapore Branch and PT ANZ Panin Bank, with Standard Chartered Bank (Hong Kong) Limited as agent. to fund Bayan’s purchase of shares in certain mining companies and fixed assets, as well as in a US$300 million senior secured financing transaction which was provided by Standard Chartered Bank, Sumitomo Mitsui Banking Corporation & ANZ Bank.
  • PT ANZ Panin Bank, BNP Paribas, Citibank N.A., Jakarta Branch, Citigroup Global Markets Singapore Pte. Ltd., Credit Suisse AG, Singapore Branch, The Hongkong and Shanghai Banking Corporation Limited, Jakarta Branch, PT HSBC Securities Indonesia, ING Bank N.V., Singapore Branch, J.P. Morgan Securities (Asia Pacific) Limited, The Royal Bank of Scotland N.V., Singapore Branch and Standard Chartered Bank in a US$450 million senior secured loan facility (which may be further increased by an additional US$75 million) to the Transmedia Group. Part of the proceeds from the loan will be used to refinance the US$350 million senior secured bridge loan to Transmedia used for the acquisition of the 40 percent stake in P.T. Carrefour Indonesia, on which we also advised the lenders.
  • PT Bayan Resources Tbk., as borrower, in a US$185 million bridge financing from Standard Chartered Bank, Singapore Branch and PT ANZ Panin Bank, with Standard Chartered Bank (Hong Kong) Limited as agent. The purpose of the financing was to fund Bayan’s purchase of shares in certain mining companies and fixed assets. Bayan is one of Indonesia’s biggest coal producers listed on the Jakarta Stock Exchange. Guan Feng also previously advised Bayan in a US$300 million senior secured financing provided by Standard Chartered Bank, Sumitomo Mitsui Banking Corporation and ANZ Bank.
  • PT Visi Media Asia (Viva), an operator of two Indonesian TV stations, TV One and ANTV, in a US$54 million pre-IPO financing arranged by Credit Suisse. Viva will use the funds for expansion, including the purchase of equipment, construction of a studio, upgrade of newsroom systems and acquisition of content. 
  • Deutsche Bank, Credit Suisse and JPMorgan Securities as joint mandated lead arrangers of the US$600 million credit facility provided to a Kohlberg Kravis Roberts-led group to take private MMI Holdings Limited, a Singapore public company. This was FinanceAsia's "Leveraged Finance Deal of the Year 2007" and is one of the largest public-to-private leveraged buyout financings in Singapore. 
  • IndoCoal Exports (Cayman) Limited (IndoCoal), PT Kaltim Prima Coal (KPC) and PT Arutmin Indonesia (Arutmin) in the US$600 million future flows backed securitization involving the sale of receivables by KPC and Arutmin to IndoCoal and the issuance of notes backed by such receivables. This transaction involved the sale of all export receivables generated from sales of coal. A number of novel issues of Indonesian law were addressed including issues relating to the Coal Contract of Work and Indonesian bankruptcy law. It was the first cross-border securitization and first investment-grade bond deal out of Indonesia since 1997, the stand-out deal of the year in the ABS market and was recognized as "Securitization Deal of the Year" at the IFLR Asia Awards 2006. 
  • PT Tanjungenim Lestari Pulp and Paper (TEL) in its US$624 million debt restructuring transaction which was completed in 2004. TEL is a leading Indonesian pulp producer based in Sumatra, Indonesia. The creditors of TEL include four major export credit agencies from Finland, Canada, Germany and Sweden and a commercial bank syndicate led by Mizuho Bank. The key shareholders of TEL at that time were PT Barito Pacific Tbk., Marubeni Corporation and a consortium of Japanese investors acting through Sumatra Pulp Corporation. The restructuring paved the way for Barito Pacific to exit from TEL in November 2005. Marubeni now controls 85 percent of TEL and 60 percent of the Musi forestry concession. This transaction was IFRAsia's Debt Restructuring Deal of the year 2005. 
  • Bank Steering Committee led by Royal Bank of Scotland Plc, Singapore Branch in the restructuring of debts of PT Kalbe Farma Tbk (Kalbe Farma) and its listed distribution arm, PT Enseval Putra Megatrading. Kalbe Farma is one of the leading publicly listed pharmaceuticals manufacturers in Indonesia. 
  • PT Bakrie Telecom Tbk (BTEL) as the borrower under a US$145 million facility arranged by Credit Suisse and PT Danatama Makmur. BTEL is a public company listed on the Jakarta Stock Exchange and is a leader in providing affordable Fixed Wireless telecommunications in Indonesia. 
  • Deutsche Bank AG, Hong Kong Branch as a mandated lead arranger in the first public to private voluntary LBO financing in Thailand. This was a US$290 million financing for True Corporation Public Company Limited's acquisition of United Broadcasting Corporation Public Company Limited, the largest cable TV operator in Thailand.
