Practice Experience
Gary Kashar is a partner in White & Case's New York Capital Markets section. His practice focuses primarily on corporate finance and general securities and corporate matters.

Mr. Kashar has extensive experience representing investment banks, issuers and investors in connection with public and private securities offerings, tender offers and consent solicitations and a broad range of other financing transactions. He is involved in all aspects of structuring, negotiation and documentation of these transactions. Mr. Kashar has experience in a wide variety of industries, including retail, industrial, gaming and lodging, telecommunications, energy and oil and gas.

Recent transactions include:
  • Representation of Morgan Stanley, Bank of America Merrill Lynch and Wells Fargo Securities, as joint bookrunners, in connection with the issuance by United Rentals of US$750 million of Senior Secured Notes and an aggregate of US$2,075 million of Senior Notes to finance the acquisition of RSC Holdings, Inc.
  • Representation of Morgan Stanley and The Bank of Tokyo-Mitsubishi in connection with the issuance by CF Industries Holdings Inc. of an aggregate of US$1.6 billion of senior notes to finance its US$4.7 billion acquisition of Terra Industries Inc. The notes offerings consisted of US$800 million of 6.875% senior notes due 2018 and US$800 million of 7.125% senior notes due 2020. Other aspects of the transaction included US$2.5 billion of senior secured first lien credit facilities, US$1.75 billion of second lien bridge financing and a US$1.15 billion common stock offering.
  • Representation of Calpine Corporation, the largest independent power generator in the United States, in connection with an aggregate of US$5.7 billion of senior secured notes issued by Calpine and its subsidiaries, including an offering considered to be the first exchange of par notes for bank loans.
  • Representation of Deutsche Bank Securities Inc., Merrill Lynch International and The Royal Bank of Scotland plc, as joint bookrunners, in connection with the issuance by MCE Finance Limited (Melco Crown Entertainment) of US$600 million of 10.25% Senior Notes due 2018.

Prior to practicing law, Mr. Kashar served as an extern to the Honorable Nathan L. Hecht of the Texas Supreme Court.
