The way in which businesses and consumers use computing services is rapidly changing. Today's economic climate dictates that businesses use computing services differently than they have in the past. From Application Service Provider ("ASP") model delivery to Software as a Service ("SaaS") to Cloud Computing, computer processing platforms have dramatically changed. As the costs of maintaining computer hardware and software continue to rise, businesses are looking for cost effective and scalable applications to meet their needs. Consumers are seeking inexpensive ways to store their content and have greater remote accessibility. While the cloud platform provides a number of economic and technical solutions, it also raises a number of legal and business issues that need to be addressed when critical work functions are outsourced and proprietary data is entrusted to vendors.
We will discuss the common legal and business issues that tend to occur during negotiations concerning cloud computing services, best practices and potential risks from both the vendor and customer perspectives.
