Practice Experience
Heather Giannandrea is an associate in the M&A Practice Group. She began her legal career at White & Case and is resident in the New York office. Ms. Giannandrea focuses on the representation of domestic and international corporate clients, private equity funds, and commercial banks (and their private equity affiliates) in domestic and cross-border public and private mergers and acquisitions, divestitures and private equity investments in a broad range of industries. She provides general corporate and corporate governance advice to various domestic, foreign and not-for-profit clients, and has represented a number of clients on a pro-bono basis in asylum and derivative citizenship applications.
Recent matters include representation of:
- Harbinger Capital Partners and its portfolio company, Kelson Energy, in the sale of its Magnolia Generation Facility, a three-unit gas-fired combined cycle power plant located in and around Benton County, MS, to the Tennessee Valley Authority;
- Harbinger Capital Partners and its portfolio company, Kelson Energy, in the sale of its Cottonwood Generation Facility, a 1279MW gas-fired combined cycle power plant located in and around Newton County, Texas, to NRG South Central Generating, LLC;
- Harbinger Capital Partners and its portfolio company, Kelson Canada, in the sale of its Island Generation Facility, a 275MW gas-fired combined cycle power plant located in Campbell River, British Columbia, to Capital Power, L.P.;
- Private equity firm Harvest Partners, Inc. in its acquisition of IG Staffing Holdings, Inc.;
- Nuclear Innovation North America LLC (NINA), a joint venture between NRG Energy, Inc. and Toshiba Corporation, in an agreement with the Tokyo Electric Power Company (TEPCO) to invest US$155 million in an approximately 2,700MW nuclear power plant in Texas;
- Hong Kong-based Pacific Century Group in its US$500 million acquisition of AIG's investment advisory and asset management business, PineBridge Investments;
- Presstek, Inc. in connection with the sale of its Lasertel, Inc. subsidiary to SELEX Sensors and Airborne Systems (US), Inc.;
- Royal Ahold's Giant-Carlisle division in connection with its US$140 million acquisition of 25 stores from Ukrop's Super Markets, Inc;
- Kelson Holdings LLC in the US$850 sale of its subsidiary, Redbud Energy LP to Oklahoma Gas & Electric Company;
- Mobile Mini, Inc. in connection with its US$715 million stock and cash acquisition of Mobile Storage Group;
- Excel Maritime Carriers Ltd. in connection with its US$2.45 billion acquisition of Quintana Maritime Limited; and
- International AIDS Vaccine Initiative (IAVI), a not-for-profit organization that conducts advocacy and policy research on behalf of the AIDS vaccine field, in a variety of matters.
