Practice Experience
Laura Sizemore has represented issuers, underwriters and other participants in US registered public offerings, US offerings under Rule 144A, offerings outside the United States under Regulation S and private placements. She has extensive experience in emerging markets securities offerings, including listings on one or more securities exchanges.
Ms. Sizemore advises both US and non-US issuers that are public companies in the United States with respect to their disclosure obligations under the US federal securities laws as well as their compliance with the Sarbanes-Oxley Act and the rules of the New York Stock Exchange and Nasdaq. She regularly assists US and non-US. issuers in the preparation of annual reports and other filings with the Securities and Exchange Commission. She also has established American Depositary Receipt programs for non-US issuers.
Ms. Sizemore is listed as a leading individual in banking & finance by the current edition of Chambers & Partners Guide to the World's Leading Lawyers for Business. Legal 500 2010 edition ranks her as a recommended individual in US equity capital markets.
Ms. Sizemore has represented:
- Goldman Sachs International and J.P. Morgan Securities Ltd., as joint global coordinators, and Ak Yatırım Menkul Değerler A.Ş. and İş Yatırım Menkul Değerler A.Ş., as joint domestic coordinators, in the initial public offering and Istanbul Stock Exchange listing of Koza Altın İşletmeleri A.Ş., a leading Turkish gold mining company.
- Deutsche Bank and Garanti Securities as joint global coordinators in the initial public offering and Istanbul Stock Exchange listing of Türk Telekomünikasyon A.Ş., the leading integrated telecommunications operator in Turkey. The offering, which raised approximately $1.9 billion, was the largest-ever Turkish IPO.
- Aksa Enerji Üretim A.Ş., the largest independent power producer in Turkey in terms of installed capacity and electricity generation, in its initial public offering and listing on the Istanbul Stock Exchange.
- Emlak Konut Gayrimenkul Yatırım Ortaklığı A.Ş. in its €539 million initial public offering and listing on the Istanbul Stock Exchange. Emlak Konut is Turkey's largest real estate investment trust in terms of portfolio value, and its IPO was the largest IPO in Turkey since the Türk Telekom offering mentioned above. UniCredit acted as global coordinator and international bookrunner and TSKB acted as global coordinator and domestic bookrunner.
- Finansbank A.Ş., the fifth largest private bank in Turkey and a subsidiary of National Bank of Greece S.A., in its $500 million debut bond offering. The joint lead managers for the offering were Citi, Deutsche Bank, HSBC and Standard Chartered Bank.
- EastPharma Ltd., a Bermuda company active in the manufacturing and marketing of branded generic pharmaceuticals in Turkey and other emerging markets, in its $200 million initial public offering and admission of its global depositary receipts to the official list of the London Stock Exchange.
- Coca-Cola İcecek A.Ş., the bottling company operating in Southern Eurasia and the Middle East, in its TRY 420 million initial public offering and listing on the Istanbul Stock Exchange.
- First Republic Bank, a NYSE-listed private bank and wealth management firm, in connection with the $1.8 billion acquisition of First Republic Bank by Merrill Lynch.
- Newmont Mining Corporation, a NYSE-listed Fortune 500 gold producer with operations on five continents, in its $1.3 billion public offering of common stock in 2009 and in its $2.5 billion public offering of debt securities in 2012.
- Ablon Group Limited, a real estate developer operating in Central and Eastern Europe, in connection with its £87.5 million initial public offering and admission to the Alternative Investment Market of the London Stock Exchange.
- Çukurova Holding in the $579 million sale of 5.88 percent of Turkcell, the leading provider of mobile voice and data services in Turkey, on the New York Stock Exchange.
- FinansInvest as lead manager in the TRY 223.5 million initial public offering and Istanbul Stock Exchange listing of Albaraka Türk Katılım Bankası A.Ş., a Turkish participation bank that provides a range of interest-free banking products and services.
- Deutsche Bank as sole global coordinator in the TRY 166 million initial public offering and Istanbul Stock Exchange listing of Vestel White Goods, a manufacturer of home appliances.
- Sinpaş Gayrimenkul Yatırım Ortaklığı A.Ş., a real estate investment company, in connection with its TRY 510 million initial public offering and listing on the Istanbul Stock Exchange.
- ABB Ltd, one of the world’s leading power and automation technology companies, with respect to the listing of its shares on the New York Stock Exchange as well as various capital markets transactions.
- Barry Callebaut, the world’s largest manufacturer of chocolate products, in its €165 million high yield bond offering pursuant to Rule 144A and Regulation S.
