Practice Experience
Martin Ulfson is an associate in the Mergers and Acquisitions Practice Group, and is resident in the New York office. Mr. Ulfson focuses upon the representation of domestic and international corporate clients, private equity funds and commercial banks and their private equity affiliates in public and private mergers and acquisitions, joint ventures, “going private” transactions and private equity investments. He also provides general corporate and corporate governance advice.
Recent transactions include the representation of:
Nordic Capital and Avista Capital Partners in connection with their acquisition of the ConvaTec business unit from Bristol-Myers Squibb for a purchase price of US$4.1 billion. This deal was the largest private equity deal globally at the time of signing in 2008.
A/S Dampskibsselskabet TORM, the world's premier tanker carrier of clean oil products, in its joint venture with Teekay Shipping and their combined acquisition of OMI Corporation in a $2.2 billion cash tender offer followed by a back-end merger.
Private equity firm Castle Harlan, Inc. in its sale of Gravograph, the leading laser engraving manufacturer in the world.
Private equity firm Harvest Partners, Inc. in its acquisition of Aquilex Corporation, the leading global provider of outsourced specialty welding solutions for the energy and processing industries.
Bowne & Co., Inc., the world's largest financial printer, in its auction process and subsequent sale of its subsidiary, Bowne Global Solutions, to Lionbridge Technologies, Inc. in a $180 million cash merger.
A Swiss-based global power and automation group in the sale of its worldwide air handling equipment business located in over 30 jurisdictions to a private equity firm.
Prior to joining the New York office in 2004, Mr. Ulfson was an associate in White & Case’s Stockholm office where he practiced M&A and general corporate and commercial law.
