Global law firm White & Case LLP has advised Cdiscount on the creation of the International Marketplace Network, the first alliance of European e-commerce platforms.

The European alliance includes Cdiscount in France, real.de in Germany, eMAG in Romania and ePrice in Italy, and will create a unique online retail platform for the four vendors – the first fully integrated European marketplace of its kind. It will facilitate the exchange of merchants to promote more efficient cross-border purchasing of goods, which will benefit consumers.

The White & Case team in Paris advised Cdiscount on the:

  • drafting of legal documents and the creation of the joint venture
  • notification of the transaction in the relevant jurisdictions
  • IP/IT contractual structure of the platform.

The White & Case team in Warsaw advised Cdiscount on the antitrust filing with the Polish authority.

Cdiscount, a subsidiary of the Casino Group, is the leading non-food online retailer in France. Its website generated more than €3.6 billion in gross merchandise volume during 2018, including its marketplace, which has rapidly expanded to more than 12,000 vendor partners.

The White & Case team which advised on the transaction was led by partners Yann Utzschneider and Nathalie Nègre-Eveillard (both Paris), and included partners Clara Hainsdorf, Alexandre Ippolito, Alexandre Jaurett (all Paris) and Katarzyna Czapracka (Warsaw), counsel Jean Paszkudzki and Estelle Philippi (both Paris), and associates Costanza Mussi, Alexandre Martin (both Paris) and Jolanta Brogowska (Warsaw).
