White & Case Advises RWE on Sale of NET4GAS

Global law firm White & Case LLP has advised RWE AG, a leading European electricity and gas company, in connection with the sale of its 100 percent share in NET4GAS, s.r.o., the Czech gas transmission system operator, to a consortium of Allianz and Borealis Infrastructure. The consortium will acquire the shares for an enterprise value close to €1.6 billion.

"White & Case was pleased to work with RWE on this exciting transaction, which is another excellent example of our strength in advising on large, cross border deals" said White & Case London-based partner John Cunningham. "Close cooperation between our Prague and London teams, supported by energy industry lawyers from our Brussels and Dusseldorf offices, illustrates our ability to successfully navigate our clients through complex business transactions."

"This was a significant transaction for the Czech Republic and further underlines confidence in the region both from European and North American investors," said White & Case Prague-based partner Vít Stehlík.

The transaction signed on 28 March 2013.

The London-based M&A team was led by partners Peter Finlay and John Cunningham and supported by associates Marcus Booth and Jonty Vavasour. The Prague team, responsible for the Czech law aspects of the transaction, was led by partner Vít Stehlík supported mainly by partners Aleš Zídek and Petr Kuhn and associate Pavel Čížek. Brussels-based partner Kai Struckmann and Düsseldorf-based partner Florian Wesche advised in relations to energy and regulatory issues.
