Overview

Annie Serafim is an associate in the Firm's Capital Markets Group in London and concentrates on securities transactions and corporate finance, with particular focus on high yield debt offerings and emerging markets.

She has represented investment banks and companies in a range of securities transactions, including Rule 144A and Regulation S high yield debt offerings and liability management transactions. Her practice also includes the representation of companies in connection with general corporate and securities matters.

Experience

Represented Synthos S.A., one of the leading manufacturers of chemical raw materials in Central and Eastern Europe, the leading producer of synthetic rubber and the leading producer of expendable and extruded polystyrene in Europe, in connection with the Rule 144A and Regulation S high yield bond offering of €350 million 4.000% senior notes due 2021. BNP Paribas, Citigroup and Deutsche Bank acted as joint global coordinators and joint bookrunners; ING, PKO Bank Polski, Santander and UniCredit Bank acted as joint bookrunners.

Represented Pendragon PLC on a high yield bond offering of £175 million 6.875% senior secured notes due 2020, alongside a new £145 million pari passu revolving credit facility. Barclays, Lloyds Bank and The Royal Bank of Scotland acted as joint global coordinators and joint bookrunners.

Represented J.P. Morgan Securities plc, Erste Group Bank AG, ING Bank N.V., London Branch, Société Générale and UniCredit Bank AG as joint bookrunners and KBC Bank NV as co-manager for a debut €500 million issuance of senior secured notes by EP Energy, a.s., guaranteed by certain of its subsidiaries. The proceeds of the notes were used, among other things, to repay existing senior indebtedness, with an escrow account utilized to distribute funds under numerous facilities. EP Energy, a.s. is a vertically integrated energy company with primary operations in Czech Republic and Germany.

Represented Cabot Financial (Luxembourg) S.A. (as Issuer) and Cabot Credit Management Limited, the largest acquirer and manager of defaulted consumer debt from financial services firms in the United Kingdom, and certain of its subsidiaries (as guarantors) for the New York law-governed high yield bond offering of £265 million 10.375% senior secured notes due 2019, alongside a new £50 million revolving credit facility guaranteed by the same subsidiaries. J.P. Morgan, Citigroup, Lloyds Bank and RBS acted as joint book-running managers. This deal has been described as the first true European high yield deal to price after the summer holidays in 2012.

Represented Crédit Agricole Corporate and Investment Bank, as global coordinator and joint bookrunning manager, and BNP Paribas, HSBC, Mitsubishi UFJ Securities International and Natixis, as joint bookrunning managers, for the English law-governed high yield bond offering of €250 million 8.75% Senior Notes due 2019 by French issuer Faurecia S.A., one of the world's largest automotive equipment suppliers.
