Ekaterina is an associate in our Corporate/M&A practice. She advises on Russian and international corporate transactions and specializes in competition/antitrust law and foreign investments into Russian companies.
Ekaterina has particular experience in the following areas: (i) advising on corporate law issues, deal structuring, conducting due diligence, drafting transactional documentation; (ii) advising on Russian competition law issues, preparing certain documentation and further assistance in obtaining approvals from antimonopoly services, as well as joint advice along with colleagues from other offices on complex multijurisdictional transactions; (iii) providing advice on on-going business operations within the banking sector, in particular approval of Russian credit organizations' acquisitions by the Central Bank of Russia and assisting with liquidation issues.
Ekaterina is a member of the Non-Commercial Partnership "Promotion of Competition", where, as a member of working groups, she is involved in drafting legal regulations on various antimonopoly matters.
Advising Naspers Limited, the South African-based global internet and media company, in relation to its US$1.2 billion investment to become the largest shareholder in Avito, the leading online classifieds platform in Russia. The advice included drafting transaction documents, due diligence review, as well as advice on antimonopoly issues.
Advising Wintershall Holding G.m.b.H on a wide range of antitrust matters relating to the asset swap with Gazprom, including obtaining approval of the Federal Antimonopoly Service for the acquisition of rights to determine commercial activities of Gazprom's subsidiaries.
Advising Independent Petroleum Company (IPC) on establishing a joint venture with Alliance Group (Alliance), a leading independent oil and gas player with vertically integrated operations in Russia, Kazakhstan and Ukraine, and the related financing.
Advising VTB Capital on the VTB Group's acquisition of 100% of Tele2 Russia from Tele2 AB as a private equity investment. The deal value was US$2.4 billion in equity value and US$1.15 billion in net debt.
Representing Sberbank, the largest bank in Russia, Central and Eastern Europe, in the acquisition of 75%-1 share in a Russian online payment service Yandex.Money LLC.
