Overview

Irina Dmitrieva heads White & Case's tax practice in EMEA and Moscow.

She brings insight to all Russian and international tax matters, including greenfield investments, billion dollar M&As, private equity, corporate restructuring and reorganizations, real estate, capital markets and structured finance transactions.

Irina's clients benefit from her deep understanding of Russian law, her extensive experience in international tax structuring, and her active participation in the development and shaping of Russian tax legislation since its inception in 1991.

Irina shares her knowledge and experience with up-and-coming lawyers by lecturing at the Moscow State University of International Relations and the National Research University – Higher School of Economics. She is also currently co-authoring a practical handbook on international tax law.

Experience

Construction of the two electro-thermal power stations, ongoing

Irina is advising a Russian subsidiary of a Turkish diversified producer on a wide range of tax and legal matters related to construction and operation of the two gas-fired combined cycle power plants.

Implementation of a greenfield limestone production, 2014

Irina advised a Western European producer of lime and lime-based products, on a wide range of tax and legal issues related to implementation of a greenfield limestone production in Russia.

€300 Private Equity Investment, 2013

Irina advised Gazprombank on tax and legal issues in setting up a 50/50 joint venture (MIR Capital) with Intesa Sanpaolo for private equity investments up to €300 million in Italian and Russian companies seeking international growth.

US$8.5 Billion Shareholder Restructuring, 2013

Irina advised TeliaSonera on the US$8.5 billion shareholder restructuring of MegaFon, one of Russia's largest mobile phone operators. She provided further guidance on the simultaneous US$1.45 billion sale of TeliaSonera's indirect stake in MegaFon to AF Telecom.

Moscow IPO for the World’s Largest Diamond Producer, 2013

Irina worked with ALROSA, the largest diamond producer in the world, on its US$1.3 billion offering of shares on the Moscow Exchange. The deal is Russia’s largest privatisation transaction since 2006, the largest public offering of local shares in Russia and one of the largest resource sector offerings in recent years.

Boeing 737 acquisition and leasing deal, 2013

Irina advised Avia Capital Services, a wholly-owned subsidiary of Russian Technologies State Corporation, on the acquisition, export credit finance and leasing of 50 new Boeing 737 aircraft to Russian airlines.

Worldwide employee share option plan, 2012 and 2013

Irina advised Schneider Electric, a European multinational corporation that specializes in electricity distribution, automation management and the production of installation components for energy management, regarding the implementation of worldwide employee share option plans in 2012 and 2013 for the company’s subsidiaries in Russia.

Five-star hotel acquisition, 2011

Working on behalf of Kazakh private equity firm Verny Capital, Irina advised on the US$600 million acquisition of Moscow's 5-star Ritz-Carlton Hotel from Kazakh real estate developer Capital Partners.

Tax implications of stock appreciation rights plan in Russia, 2009

Acting for Lafarge S.A., a French company listed on the Paris stock exchange, Irina provided clarity regarding the Russian legal and tax implications of structuring and implementing a stock appreciation rights plan in Russia.
