Joose Tolonen advises domestic and international financial institutions and corporate clients in acquisition finance transactions, general bank lending, financial restructurings and real estate finance. Joose has also experience in advising domestic and international clients in mergers and acquisitions and equity investments.
Joose joined White & Case in 2011 upon graduation from law school.
Representing the lenders, including Commerzbank Aktiengesellschaft as global coordinator, on the financing of the acquisition of Automotive Climate Control Inc. by Spheros North America Inc., a member of the Spheros Group.
Representing ABB Group, the leading power and automation technology group, on the divestment of its ABB Full Service business to Nordic Capital Fund VIII. ABB Full Service is the leader in industrial maintenance outsourcing services in Europe, with a particularly strong position in the Nordics and a global presence.
Representing Travelport, a leading distribution services and e-commerce provider for the global travel industry, in connection with its acquisition of Hotelzon, an online hotel booking technology provider for the B2B market, for an undisclosed sum.
Representing Nordea Bank Finland Plc and Sampo Bank plc as managers, in connection with the 2012 debut offering of €100 million 3.375% secured notes due 2019 by SATO Corporation and also representing SATO Corporation in 2013, in connection with the establishment of its €500 million secured bond programme. The debut notes offering was the first-ever domestic secured bond issue by a Finnish issuer, and the bond program was the first-ever domestic secured bond programme by a Finnish issuer.
Representing Talvivaara Mining Company Plc, a Finnish mining company listed on the London Stock Exchange and Nasdaq Helsinki, in connection with its €260 million rights offering, which involved a public offering in Finland and the United Kingdom and complex structuring around two settlement systems. In connection with the rights offering, Talvivaara has renegotiated its €100 million revolving credit facility with a syndicate of lenders comprised of Nordea Bank Finland Plc, Pohjola Bank Plc, Danske Bank Oyj and Svenska Handelsbanken AB (publ), Branch operation in Finland.
Representing Outokumpu Oyj as co-counsel in connection with its acquisition of Inoxum, the stainless steel unit of ThyssenKrupp AG, valued at €2.7 billion and as counsel in connection with the related €1 billion global rights offering by Outokumpu. The rights offering was the largest-ever equity offering by a Finnish company.
