Executive Partner of the Madrid office and head of the M&A/Corporate Group in Spain, Juan Manuel focuses on general corporate law, capital markets, mergers and acquisitions and private equity.

Ranked as a leading lawyer in his field by top legal directories IFLR 1000, Legal 500 and Chambers, Juan Manuel's reputation is based on a track record of supporting corporates and private equity funds in some of the most significant M&A cross-border transactions in the Spanish markets.

Clients also look to Juan Manuel for his experience advising on domestic and international capital markets transactions. He brings knowledge and insight to clients' public and private equity and debt requirements, handling initial public offerings (IPOs), including SEC registered, Rule 144A and Regulation S transactions.

At ease navigating the multijurisdictional intricacies of major cross-border deals, he is dual-qualified in Spain and New York and fluent in English, French, Italian and Spanish.

Juan Manuel joined the firm in March 2013 from an international law firm in Madrid, where he was a partner and the head of the Corporate department in Spain.

M&A:
Digital network operator acquisition, 2014

Juan Manuel represented Publicis Groupe, the third largest communications group worldwide, in connection with its acquisition of the Spanish aspects of Nurun, a leading independent digital network operator, in a deal worth around €100,000,000.

European debt collection company acquisition, 2014

Juan Manuel represented Nordic Capital in its acquisition of a majority stake in Lindorff, a leading European debt collection company headquartered in Oslo, Norway. The total EV is €2,100,000,000 plus €200,000,000 of a performance-based shareholder note.

Potential takeover bid of olive oil distributor, 2014

He advised FSI in connection with its potential takeover bid of Deoleo, S.A., the world's number one distributor of bottled olive oil.

US$5 billion share capital transfer, 2014

Juan Manuel advised Citigroup Global Markets, financial adviser to the board of directors of Repsol S.A. He helped to devise a mutually acceptable arrangement for Repsol, to transfer 51 percent of the share capital of YPF and YPF GAS to Argentina, for a total consideration of US$5 billion.

Hotel acquisitions, 2014

Juan Manuel advised a hospitality owner, manager and developer owned by a Middle East sovereign fund, as deal and antitrust counsel in its acquisition of a portfolio of five luxury hotels (including one in Madrid, Spain), for a consideration of US$610 million.

Capital Markets:
€236.1 million Gamesa shares placement, 2014

Juan Manuel advised BAML in respect of its €236.1 million share placement, through an accelerated bookbuilding process, in Gamesa, a world leader in the development, construction and sale of wind farms.

€360,000,000 Axia IPO, 2014

Juan Manuel advised Axia Real Estate SA in the €360,000,000 initial public offering of a Spanish REIT.

€2.2 billion block trade over Repsol shares, 2014

Juan Manuel represented Citi and Deutsche Bank on the sale of €104.5 million shares of Repsol owned by Pemex and its wholly owned subsidiary PMI, representing 7.86% of the Repsol share capital, to qualified and institutional investors in an accelerated book-building process.

€ 792 million Liberbank rights offering, 2014

Juan Manuel represented Deutsche Bank in the Liberbank € 792 million rights offering.
