Head of White & Case's Asia Capital Markets Practice, Kaya primarily concentrates on international securities and finance work. She has extensive experience in emerging markets, including some of the largest securities offerings in South East Asia in recent years.

Dual-qualified in New York and England & Wales, Kaya advises public and private issuers, underwriters and selling shareholders on a wide variety of equity and debt offerings and exchange listings. Sovereign governments also seek her counsel in connection with external debt offerings.

Kaya's work includes US offerings pursuant to Rule 144A, offerings outside the US under Regulation S, including global MTN programs, initial public offerings, accelerated book-build and block trade transactions and traditional US private placements. She also has substantial experience advising on capital markets issues involved in international debt restructurings and liability management, including tender and exchange offers, debt buy-backs and consent solicitations.

Kaya is recognized as a Leading Lawyer for Singapore Capital Markets by IFLR 1000 and Chambers Asia Pacific, and also for Indonesia Capital Markets by Chambers Asia Pacific. She is also awarded the "Best in capital markets" at the Euromoney Legal Media Group Asia Women in Business Law Awards 2015.

US$1.7 billion IPO of Jasmine Broadband Internet Infrastructure Fund (JASIF)

Advised on the THB55 billion (approximately US$1.7 billion) IPO of investment units of JASIF, and its listing on the Stock Exchange of Thailand, which included an international offering in reliance on Regulation S and Rule 144A. This offering is one of the largest IPOs in Thailand since 2013. JASIF will be Thailand’s second telecommunications infrastructure fund to be established under Thailand’s infrastructure fund regime, with Jasmine International Public Company Limited acting as sponsor. The deal was named the "Equity Market Deal of the Year (Premium)" at the ALB SE Asia Law Awards 2016.

PT Link Net Tbk Rule 144A/Regulation S secondary offering

Represented Credit Suisse, Goldman Sachs, CIMB, PT Ciptadana Securities, BNP Paribas and Deutsche Bank as underwriters in a Rule 144A/Regulation S secondary offering of 912,794,000 shares (with a value of approximately US$453 million) of PT Link Net Tbk, an Indonesian internet broadband and cable TV company listed on the IDX. CVC Funds and PT First Media Tbk were among the selling shareholders.

US$1.5 billion global Sukuk bond offering by the Republic of Indonesia and its subsequent US$10 billion programme update and US$2 billion certificate issuance

Represented The Hongkong and Shanghai Banking Corporation Limited, CIMB Investment Bank Berhad, Emirates NBD Capital Limited and Standard Chartered Bank as the dealers and arrangers on The Republic of Indonesia's US$1.5 billion global Sukuk bond offering, through an amendment of and drawdown from The Republic's existing US$5 billion Sukuk program. This deal was named "Debt and Equity-linked Deal of the Year" at the IFLR Asia Awards 2015 and "Debt Market Deal of the Year" at the ALB SE Asia Law Awards 2015. We subsequently advised The Republic of Indonesia in the update and upsize of its US$10 billion Sukuk programme and the Regulation S/Rule 144A issuance of US$2 billion Certificates under the programme. 

Bangkok Airways Public Company Limited IPO and Regulation S international offering

Represented Bangkok Airways Public Company Ltd. as issuer on its THB12.6 billion (approximately US$388.5 million) initial public offering and concurrent Regulation S international offering of 580,000,000 ordinary shares listed on the Stock Exchange of Thailand.

Greentown China's liability management transactions

Advised Greentown China Holdings Limited, a luxury residential property developer in China listed on the Hong Kong Stock Exchange, on its solicitation of consents from holders of its RMB2.5 billion 5.625% Senior Notes due 2016, US$700 million 8.50% Senior Notes due 2018 and US$500 million 8.0% Senior Notes due 2019 and concurrent offer to exchange the US dollar-denominated Senior Notes due 2018 and 2019 for, and Regulation S offering to new investors of, US$500 million 5.875 percent Senior Notes due 2020. The deal won a 2015 "Triple A Regional Deal Award for Best Liability Management" from The Asset and 2016 "Debt and Equity-Linked Deal of the Year" from China Law & Practice.

US$2.1 billion IPO of the BTS Rail Mass Transit Growth Infrastructure Fund

Acted as international legal counsel for Bangkok Mass Transit System Public Company Limited (BTSC) in the THB 62,510.4 million (US$2.1 billion) IPO of the BTS Rail Mass Transit Growth Infrastructure Fund (BTSGIF). This is one of Thailand's largest IPOs ever, and BTSGIF was the first infrastructure fund in Thailand. This deal was named “Equity Deal of the Year” at the IFLR Asia Awards 2014, "Equity Market Deal of the Year" at the ALB SE Asia Law Awards 2014, “Best IPO” at the FinanceAsia Achievement Awards 2013, and won a "Deal of the Year 2013" award from ASIAN-MENA COUNSEL.
