Overview

Madina is an Associate in our Capital Markets practice in Astana.

Due to her work experience in AIFC Stock Exchange, she has extensive knowledge in terms of regulatory and compliance matters of AIX. She has experience representing international and domestic clients in a full range of capital market transactions, including public offerings, and general corporate representations.

Prior to joining White & Case Madina has worked at AIFC Stock Exchange and the Big Four organization.

Experience

Advising Citigroup and Jefferies as the joint global coordinators and bookrunners and WOOD & Company as joint bookrunner on the US$350 million initial public offering of Air Astana Joint Stock Company, Kazakhstan flag carrier and the largest airline group in Central Asia and the Caucasus region based on market share.

Advising National Company KazMunayGas JSC, a leading national oil and gas company, and Samruk-Kazyna, Kazakhstan's national welfare fund as the selling shareholder on the IPO of c. 18.3 million ordinary shares of KMG owned by Samruk-Kazyna on the Kazakhstan Exchanges (AIX and the Kazakhstan Stock Exchange). This is the first IPO on the AIX to be based on the prospectus prepared exclusively in accordance with the AIX regulations (all prior equity offerings on AIX followed a "dual listing" model where the AIX accepted prospectuses prepared in accordance with the regulations of exchanges the AIX recognizes as equivalent).

Advising an independent foreign oil & gas company with production assets in Kazakhstan in relation to its debt restructuring.

Advising a financial company in obtaining its regulatory licenses and maintaining compliance with the regulatory requirements.*

Advising a financial company in relation to structuring the sale of ETNs through a mobile application, which included analysing the proposed model, identifying legal risks and proposed changes in compliance with AIFC rules and Kazakhstan legislation.*

Advising a financial institution, whose primary function is formation, storage and maintenance of registers system of securities holders, in relation to developing the regulatory framework.*

Advising a financial institution from regulatory and compliance side for development of investment mobile applications, including the analysis of licensing requirements, advertising restrictions, paperless onboarding procedure, assessment of automated KYC and AML checks.*

Advising a Kazakhstani transportation company in the sale of its car building plant to a foreign manufacturer of locomotives and rail equipment.*

Advising a Singaporean investor in its acquisition of six subsidiary companies of a Kazakhstani entity in the electronic payments industry.*

Advising a Russian solar plant construction company in the acquisition of a solar power plant that develops high-tech renewable energy generation.*

Advising the World Bank in its financing of the Ministry of Labor of Kazakhstan for modernization of professional certification procedures.*

Advising European Bank for Reconstruction and Development in its financing of the water and heat supply provider in introducing performance-based maintenance contracting approach.*

Advising a financial institution in relation to developing its internal policies and procedures: Anti-Money Laundering Policy, Sanctions Policy, Personal Trading Procedure, Anti-Bribery and Corruption Policy, Conflict of Interest Policy, Member onboarding and Supervision Procedure, Security Lending and Borrowing Procedure, Information Policy, etc.*

Advising a financial institution on due-diligence and establishing customary relations with 18 brokers and custodians.*

Advising a financial institution in registration of six subsidiary companies in the Astana Intranational Financial Centre.*
