Practice Experience
Mr. Haussila is the executive partner of our Helsinki office and the Global Head of the Firm's Capital Markets Practice Group. His international corporate finance and transactional practice encompasses securities offerings, debt and equity financings, mergers and acquisitions and general corporate matters for Finnish, other Nordic and multinational companies and financial institutions. He has extensive experience practicing in New York and London as well as in Helsinki. Mr. Haussila is a member of the Firm's Partnership Committee.
In capital markets transactions, Mr. Haussila represents issuers, selling shareholders, underwriters and placement agents in a wide range of offerings, including public offerings and private placements in the Nordic, U.S. and international debt and equity markets. Mr. Haussila acts extensively for companies making Regulation S and/or Rule 144A offerings and initial public offerings that involve share listings on the Helsinki, Copenhagen, Oslo, Stockholm, London, New York or other stock exchanges. After opening our Helsinki office in 1992, he has been involved in many of the largest equity and debt offerings in the Nordic region. Recent transactions include representing a Finnish mining company in its initial public offering and listing on the London Stock Exchange, representing a Finnish chemicals group in a rights offering, and representing a Nordic banking group in the establishment of its U.S. medium-term note program and related debt issuances.
Mr. Haussila has significant experience representing Finnish, other Nordic and multinational clients in mergers and acquisitions and general corporate matters, and advises non-Finnish clients on the structuring and establishment of operations in Finland. He has been involved in a number of the most significant Finnish and other Nordic public company mergers, such as the merger of Telia of Sweden and Sonera of Finland to form TeliaSonera AB, as well as public tender offers. Recently, he has represented a Finnish corporation in a public exchange offer for all issued and outstanding shares and stock options of a company complementary to its business. Both the acquiror and the target had an international shareholder base and global operations, and the transaction presented a number of multi-jurisdictional challenges, particularly in relation to regulatory approvals. He has advised on transactions in the energy, engineering, forestry, mining, pharmaceutical and other industries.
Mr. Haussila also advises major Finnish and other Nordic corporations and financial institutions in connection with syndicated credit facilities, bilateral credit agreements and other international financing arrangements, and assists Nordic and international banks as managers or agents in connection with syndicated credit facilities and other financing arrangements.
Prior to joining White & Case in 1992, Mr. Haussila practiced with an international law firm in New York and London from 1984 through 1992 and with a Finnish law firm from 1978 through 1983. He is a member of the New York Bar as well as the Finnish Bar Association and holds a Master of Laws degree from the Columbia University (1984) and the Helsinki University (1978).
