White & Case Promotes Employee Benefits Partner in New York

New York, July 14, 2010 ... Global law firm White & Case LLP announced today the promotion of New York counsel Mark Hamilton to partner in its Executive Compensation, Benefits and Employment Law group, which is part of the Firm's Americas Mergers & Acquisitions Practice.

Hamilton counsels clients on employee benefits and compensation matters, including those arising in mergers and acquisitions, financing arrangements and other types of corporate transactions. He provides counsel regarding stock-based compensation arrangements, employment agreements, change in control agreements and all other executive compensation arrangements. His practice includes tax matters, such as Code Section 280G golden parachute issues, performance-based compensation compliance under Code Section 162(m) and the design of deferred compensation plans. Hamilton also advises pension plan fiduciaries, investment fund sponsors, pension plan investors, banks and other financial services firms regarding fiduciary issues and other implications arising from the US Employee Retirement Income Security Act of 1974 (ERISA), including ERISA's "plan assets" rules. In addition, Hamilton counsels public companies and underwriters concerning the US Securities and Exchange Commission's executive compensation disclosure rules.

Matters that Hamilton has counseled clients on include advising an Asian private equity firm on compensation issues relating to the firm's newly purchased global investment advisory and asset management business, advising a large real estate company on implementing executive employment agreements and stock-based compensation arrangements following its emergence from bankruptcy and advising a private equity firm in its purchase of a world-wide business unit of a US pharmaceutical company, including negotiation of acquisition agreements, executive employment agreements and compensation arrangements for key employees.

Hamilton joined White & Case as an associate in 1993. He was promoted to counsel in 2002.
