Practice Experience
Samir Berlat is a member of White & Case's Banking and Capital Markets Practice based in New York. He focuses on financing transactions with particular experience in leveraged acquisition finance, structured finance, corporate finance and syndicated lending.
Samir represents a range of banks and other financial institutions in domestic and cross-border transactions. He also represents corporate borrowers and investment funds in a wide range of financing transactions. He also has extensive experience in advising creditors and debtors on debt restructurings. Recent representative transactions include:
- Advising a leading supplier of manufacturing solutions to the life sciences industry, in relation to its financial restructuring;
- Advising the bookrunners, arrangers and lenders in relation to the financing of the acquisition of Groupe Outremer Telecom, a French listed company. The acquisition was structured as the acquisition by OMT Invest (a SPV controlled by AXA Private Equity) of a controlling stake, followed by the launch of a public offer
- Advising the mandated lead arranger in relation to the financing for an amount of €180 million of the acquisition of Sagemcom, by Carlyle;
- Assisting PagesJaunes Groupe SA in connection with the issuance of €350 million senior secured notes due 2018 by PagesJaunes Finance & Co S.C.A. in order to partially refinance the existing Facility Agreement entered into by PagesJaunes Groupe SA and the corresponding amendments to the Facility Agreement.
- Advising ICG in connection with the financing of the acquisition by a single purpose vehicle controlled by Fondations Capital of the French restaurant chain Courtepaille. A first-of-kind financing structure in France based on a bond debt subscribed solely by ICG for an amount of €160 million;
- Advising the mandated lead arrangers and the banks in connection with the debt financing of the acquisition by Diacine France SAS, a French subsidiary of Cinvend held through a "double LuxCo" structure, of Sebia, a French group in the medical diagnostics business; and
- Advising the mandated lead arrangers with respect to the senior secured financing for the acquisition by a vehicle controlled by PAI partners of Cerba, French medical biology laboratories. This transaction was the first ever "double LuxCo" structure including mezzanine financing.
