Experience

Indonesian IPO of PT Trimegah Bangun Persada Tbk.
Representation of the issuer, PT Trimegah Bangun Persada Tbk. (Harita Nickel), in relation to its IPO on the Indonesian Stock Exchange (IDX), which includes a Rule 144A/3(c)(7) and Regulation S offshore tranche. The transaction raised approximately IDR 10 trillion (US$672 million) in gross proceeds, which represents Indonesia's largest IPO so far in 2023. Harita Nickel is one of the only two pure-play integrated operators of nickel mines and smelters in Indonesia. This IPO represents the first electric vehicle-related IPO in Indonesia, in line with the Indonesian government's plans to capitalize on Indonesia's strategic position as the world's largest nickel producer to encourage the development of a domestic EV industry.

Republic of Indonesia's US$35 billion Trust Certificate Issuance Program and subsequent US$3.25 billion sukuk offerings
Representation of the arrangers and managers in the update of The Republic of Indonesia's (RoI) Rule 144A/ Regulation S US$35 billion Trust Certificate Issuance Program and the subsequent US$3.25 billion dual tranche sukuk offering under the Program, which closed successfully on June 6, 2022. The offering involved the issuance of a tranche of US$1.75 billion sukuk due 2027 and a tranche of US$1.5 billion green sukuk due 2032. This was awarded "Debt Market Deal of the Year" (Premium) at the ALB Indonesia Law Awards 2022.

Indonesian IPO of PT Bukalapak.com Tbk
Representation of the underwriters in the IPO of PT Bukalapak.com Tbk (Bukalapak) on the IDX, which includes a Rule 144A/Regulation S offshore tranche. The transaction raised approximately US$1.5 billion and represents the biggest IPO in the country's stock exchange history and attracted the biggest interest among all of the country's listings, according to the IDX. Bukalapak is a leading Indonesian e-commerce company and the first Indonesian unicorn technology startup company listed on the IDX. This was recognized among the award-winning Equity Capital Markets deals in In-House Community's Deals of the Year 2021.

Balikpapan Refinery Development Master Plan (RDMP) project
Representation of PT Kilang Pertamina Balikpapan, a subsidiary of Indonesian state-owned oil & gas company PT Pertamina (Persero), in the US$3.1 billion financing for the Balikpapan Refinery Development Master Plan (RDMP) project to upgrade the capacity and capabilities of its Balikpapan refinery in East Kalimantan, Indonesia. The project is currently one of the largest project financings in Indonesia over the past decade.

Changfang and Xidao offshore wind project
Representation of Copenhagen Infrastructure Partners (CIP) in the development, equity sale process and US$3 billion (TWD 90 billion) financing of the 589 MW Changfang and Xidao (CFXD) offshore wind project in Taiwan. This deal won "Asia Pacific Project Finance Deal of the Year 2020" by IJGlobal Awards, "Asia Pacific Renewable Deal of the Year 2020" by PFI Awards, "Project Finance Deal of the Year 2020" by FinanceAsia Achievement Awards, and "Project Finance Deal of the Year 2021" by IFLR Asia-Pacific Awards.

Refinery and Petrochemical Integrated Development (RAPID)
Representation of Saudi Aramco in the development and financing of the US$15.3 billion Refinery and Petrochemical Integrated Development (RAPID) joint venture with Petronas in Malaysia. The financing parties include six export credit agencies—JBIC, NEXI, KEXIM, K-Sure, CESCE and SACE—and 23 commercial banks. This deal won "Asia Pacific Petrochemical Deal of the Year 2019" by PFI Awards, "Asia Pacific Petrochemicals Deal of the Year 2019" by IJGlobal Awards, "Project Finance Deal of the Year 2020" by IFLR Asia-Pacific Awards, "Projects, Energy and Infrastructure Deal of the Year 2020" by ALB Malaysia Law Awards, and "Project Finance Deal of the Year 2020" by ALB South East Asia Law Awards.
