Practice Experience
Albert Diaz-Silveira is counsel in the Firm's Global Mergers and Acquisitions Practice. His work focuses on international and domestic mergers and acquisitions, joint ventures and general corporate and commercial matters with a particular emphasis on cross-border transactions in Latin America and the Caribbean.

Mr. Diaz-Silveira has extensive experience in mergers and acquisitions, having represented acquirers, sellers and financial advisors in transactions involving a wide range of business sectors, including manufacturing, energy, investment management, distribution and healthcare.

In recent years, Mr. Diaz-Silveira has been involved in a substantial number of acquisitions and/or divestures in the United States, Argentina, Colombia, the Dominican Republic, Jamaica, Mexico, Panama and Trinidad. Mr. Diaz-Silveira also represented the Republic of Panama and International Finance Corporation in the redevelopment of the former Howard Air Force Base in Panama.

Other recent matters include the representation of:
  • Steiner Leisure Limited (Nasdaq:STNR), a worldwide provider and innovator in the fields of beauty, wellness and education, in its acquisition of all of the issued and outstanding capital stock of Ideal Image Development, Inc., a national provider of laser hair removal services. The purchase price of the transaction, funded from existing cash and through borrowings under Steiner's new credit facility, was US$175 million.
  • Mexichem, a major Mexican chemical producer, and certain of its affiliates in Mexico, the United States, the United Kingdom and Canada in the negotiation and execution of a Business Purchase Agreement to acquire the AlphaGary plastic compounding business of Rockwood Holdings, Inc. (NYSE: ROC), a Princeton, New Jersey-based specialty chemicals company, for US$300 million.
  • Grand Bay St. Lucia Limited, an affiliate of Kruger, Inc. (a leading manufacturer of recycled newsprint and other paper products and the largest, privately owned forest products company in Canada), in the purchase of 100% of the shares of Unicell Paper Mills Caribbean Limited (Unicell) from Finvest Corporation Limited, a Jersey, Channel Islands company wholly owned by the Sharma Group (a family owned group of companies in the paper manufacturing industry).
  • Termocandelaria Power Ltd., the owner of a thermoelectric generation company located near the city of Cartagena, Colombia with a net installed capacity of 320 MW, in connection with its issuance of common shares.
  • Alterra Partners, and its 50/50 owners Bechtel Enterprises and Singapore Changi Airport, in the sale of their majority-owner and other sponsor interests in Curaçao Airport Partners N.V., which holds a 30-year concession from the Government of the Netherlands Antilles and the Island Territory of Curaçao for the development and operation of the Hato International Airport in Curaçao, Netherlands Antilles, to a consortium composed of Camargo Corrêa Investimentos em Infra-Estrutura S.A., Gestión e Ingeniería IDC S.A. and Unique (Flüghafen Zurich AG).
  • Taplin, Canida & Habacht, Inc., a Miami-based institutional fixed income money management firm, in the sale of a majority interest to Marshall & Ilsley Corporation, a diversified financial services corporation headquartered in Milwaukee, Wisconsin.
  • The Republic of Panama and the International Finance Corporation in the redevelopment of the former Howard Air Force Base, encompassing in excess of 2000 hectares of developable real property.
  • The owners of a 151 MW gas-fired generation plant in Barranquilla, Colombia in connection with the sale of the facility to Compañía Colombiana de Inversiones (Colinversiones).
  • A leading Japanese steel company in connection with the formation of a joint venture to process and distribute steel throughout Central and South America, with processing facilities in El Salvador and Guatemala.
  • Consorcio Energético Punta Cana-Macao S.A., an independent power generator in the Dominican Republic, in connection with various financings and other related matters.
