Adelina Marin is a Romanian qualified lawyer and a registered foreign lawyer with the Czech Chamber of Advocates. While practising in Romania, she has been primarily involved in M&A, private equity transactions and general corporate as well as in commercial and employment matters. For the past year, she has been part of the M&A team in Prague focusing on multi-jurisdiction corporate transactions in CEE (including Romania). Specific experience includes:

M&A
Adelina has assisted a number of buyers and sellers in various acquisitions of Romanian entities (including advice on corporate structure and transaction documentation, data-room coordination, legal due-diligence reports), on mergers as well as on general corporate issues. Most recently, she has been part of the team advising PPF Group NV in the completion of its joint venture with Generali Group that led to the creation of one of CEE's largest insurers, focusing on advice concerning regulatory aspects in several CEE jurisdictions as well as post-completion matters. Adelina has also represented Generali PPF Holding, the joint venture operation of Generali Group and PPF Group, in their indirect acquisitions of ARDAF and RAI, two Romanian insurers.

Private Equity
Recent representation includes advising a Czech investment fund and its commercial partners in its bid to acquire GTS Central Europe, an important internet provider and telecom operator in the region. In Romania, Adelina has advised Advent International on its acquisition of the Romanian pharmaceutical company Terapia SA, the first leveraged public to private in CEE, including corporate advice for structuring the transaction as well as post-completion merger and general corporate, regulatory advice, management and employment agreements and major environmental issues.

Privatisation
Adelina has been part of the team advising Wintershall A.G. in relation to the privatisation of Distrigaz Nord, one of the main Romanian gas distribution companies, including due-diligence exercise and drafting corporate resolutions. Prior to this privatisation, she advised Wintershall on various corporate issues related to its Romanian subsidiary and joint venture. Adelina also assisted E.ON Energie AG in respect to its successful bid for the privatisation of Electrica Moldova, one of the important Romanian electricity distribution companies.

Commercial
The main area of commercial law Adelina focused on is employment, advising various clients in Romania in relation to newly enacted first post-communist labour code and subsequent legislation, as well as representing companies in court in various employment litigations, mainly related to dismissal procedures and collective bargain agreements. She advised a major British retail chain on regulatory and employment issues related to their contractual partners in Romania as part of its initiative to request uniform employment standards from all its commercial partners. She also provided ongoing assistance to the Romanian representation office of Novartis on various employment issues.
