Practice Experience
Mr. Aleš Zídek's practice involves mergers & acquisitions and reorganization, with a focus on the energy industry, as well as private equity, international tax, and general Czech corporate and personal tax consultancy.

Mr. Zídek has represented major energy companies in several unbundling, cross border acquisition, construction, and compliance transactions in the Czech Republic and Central and Eastern Europe (CEE): 
  • ČEZ, a major energy producer in the Czech Republic and one of the largest energy companies in CEE, on devising the international management and engineering service structure within the ČEZ Group and on related transfer pricing issues, including the drafting of transfer pricing documentation in cooperation with external consultants; 
  • ČEZ in connection with the tax structuring of its "unbundling project" in the Czech Republic, Romania and Bulgaria; 
  • RWE in connection with unbundling and restructuring tax issues; and
  • Unipetrol in connection with the restructuring of distribution activities in Europe, investment incentives, and other internal projects.

Mr. Zídek has represented private equity funds in structuring their investments and exits in companies in CEE, and has substantial experience in structuring LBO deals in CEE, as well as conducting tax due diligence on target companies. These included Bancroft, Benson Oak Capital, DBG Eastern Europe, ARX Private Equity, Riverside, Genesis Private Equity, TPG, etc., in connection with the tax structuring of their acquisitions, subsequent restructuring and exits in the Czech Republic and other CEE countries.

Mr. Zídek frequently represents Czech business owners in sell-side situations, presale structuring assignments, as well as in post-transactional personal tax structuring.

Mr. Zídek regularly represents other corporate clients in connection with various tax and transfer pricing matters. These include Zentiva, a generics drug manufacturer, part of Sanofi-Aventis Group, Škoda JS, a manufacturer and supplier of nuclear technology, BP Austria, a producer of motor fuels, PEGAS Nonwovens, etc.

As a member of the panel of tax advisors to the members of the EU Joint Transfer Pricing Forum, Mr. Zídek has been involved in several projects that mapped the status of various aspects of transfer pricing legislation in the EU member states.

Mr. Zídek is actively involved in tax committees of the American Chamber of Commerce and the Czech Venture Capital Association.

Mr. Zídek has been ranked as a leading tax specialists in the Czech Republic by the latest editions (2011) of Chambers Europe, The Legal 500PLC Which Lawyer?. Mr. Zídek was also named one of the top 250 tax advisory globally in the Tax Directors Handbook 2010.
