Colin Chang is a Partner in the Banking & Capital Markets group based in London and Paris. A securities lawyer specialising in high yield financings, he has extensive experience representing underwriters and issuers in international high yield offerings and bridge-to-high yield financings in both the European and US markets. Colin's practice encompasses not only the conduct of high yield offerings and bridge financings but also liability management and high yield debt restructurings. He has also represented various parties in a range of structured finance products including cross-border leveraged leases, securitisations, credit default swaps and conduit financings.

Before joining White & Case in 2006, Colin practiced in the New York and Paris offices of another US law firm for over nine years.

• Acting for BNP Paribas, Crédit Agricole CIB and Natixis in the Regulation S high yield offering of €350 million 9.375% senior notes due 2016 by Faurecia;
• Acting for Zhaikmunai L.P. in the Rule 144A/Regulation S high yield offering of US$450 million 10.5% senior notes due 2015 by its subsidiary, Zhaikmunai Finance B.V. (underwritten by Citigroup, J.P. Morgan and ING);
• Acting for Deutsche Bank AG and HSBC Bank plc in the Rule 144A/Regulation S offering of £150 million 9.50% senior secured notes due 2015 by Pipe Holdings plc;
• Acting for ING and RBS in a Rule 144A/Regulation S high yield offering by DTEK Finance B.V. of US$500 million 9.5% senior notes due 2015;
• Acting for Crédit Agricole CIB, RBS and BofA Merrill Lynch in a Regulation S high yield offering by Rexel of €575 million 8.75% senior notes due 2016;
• Acting for Novasep in its Rule 144A/Regulation S high yield offering of €270 million 9.625% senior secured notes due 2016 and US$150 million 9.75% senior secured notes due 2016 (underwritten by J.P. Morgan and BNP Paribas);
• Acting for Weather Investments S.p.A. in relation to the financial restructuring and sale of Wind Hellas;
• Acting for Treofan Germany GmbH & Co. KG, a German manufacturer of plastic film, in its debt-for-equity exchange offer exchanging its 11% second lien notes due 2013 for ordinary shares of its parent Treofan Holdings GmbH;
• Acting for AfriSam (Proprietary) Limited in its €1.3 billion bridge financing (arranged by Citigroup and JPMorgan) in connection with the acquisition of an 85% equity stake in the company by AfriSam Consortium (Pty) Ltd., a South African Black Economic Empowerment vehicle;
• Acting for Magyar Telecom B.V., a Hungarian telecommunications provider, in its Rule 144A/Regulation S high yield offering of €200 million floating rate senior notes due 2013 (underwritten by Merrill Lynch, BNP Paribas and Crédit Agricole CIB) in connection with the acquisition of such company by Hungarian Telephone and Cable Corp;
• Acting for Cablecom Luxembourg S.C.A. in its Rule 144A/Regulation S high yield offering of €300 million 8% senior notes due 2016 (underwritten by JPMorgan and Deutsche Bank);
• Acting for Invitel Holdings N.V., a Hungarian Telecommunications provider, in its Rule 144A/Regulation S high yield offering of €125 million floating rate senior PIK notes due 2013 (underwritten by Credit Suisse and BNP Paribas); and
• Acting for Treofan Germany GmbH & Co. KG, a German manufacturer of plastic film, in its Rule 144A/Regulation S high yield offering of €170 million 11% second lien notes due 2013 (underwritten by Citigroup, JPMorgan and Goldman Sachs).
