Practice Experience
Claire Denison is a partner in the Firm's Banking & Capital Markets group in London.  Claire's experience includes advising banks and other financial institutions in relation to acquisition finance, real estate finance, refinancings and restructurings and PPP work.

Claire joined the Firm in December 2005 after eight years as a partner in the London office of a leading international law firm, where Claire led the structured finance team within the Banking group.

Representative transactions include:

  • Acted for HSH Nordbank AG as mandated lead arranger for €160 million senior financing and €20 million in mezzanine financing to European mid-market private equity firm HgCapital for its acquisition of talc mining group Mondo Minerals from international white minerals group Omya; and
  • Acting for Goldman Sachs, Citibank, HSBC, Commerzbank, Credit Suisse, Société Générale, Caja de Ahorros y Monte De Piedad de Madrid, The Royal Bank of Scotland plc and Lloyds TSB Bank plc as Mandated Lead Arrangers and Rabobank as Issuing Bank in the €10.8 billion financing for the cash portion of Mittal Steel N.V.’s €25.8 billion bid to acquire French rival, Arcelor SA.

Representative transactions (prior to joining White & Case) include:

  • Advising Barclays Capital as lead arranger of cross border secured multi-option loan facilities for Maiden Group Plc, MICE Group and the Urenco Group;
  • Advising UBS in connection with the £3.4 billion cross-border acquisition of the Tetra Laval Group;
  • Advising JPMorgan Chase as the sole arranger of senior debt facilities for the US$300 million cross border acquisition of Derby Cycle Corporation Inc;
  • Advising a major UK building society in the bridge financing and warehousing of a £1 billion acquisition of a mortgage portfolio to be subject to a subsequent securitisation;
  • Advising Rabobank as the sole arranger of a US$70 million commercial paper funded securitisation programme, involving trade receivables including future contracts; and
  • Advising Barclays Bank PLC on the financing of the redevelopment of the site of the former Ealing Studios.
