Practice Experience
Claire Denison is a partner in the Banking & Capital Markets Group at White & Case LLP in London.

Claire has experience of a wide range of banking and finance transactions including PPP financings and focuses on cross border acquisition and real estate work acting for sponsors and investment funds, banks and other financial institutions. Most recently Claire has been involved in developing the Firm's global trade finance practice.

Claire is acknowledged as "very highly rated" in the Acquisition Finance section of the latest Legal 500 UK legal directory.

Recent representative transactions include:

Acquisition Finance
  • Acting for International Power Plc and Marubeni Corporation in relation to the finance aspects of their bid to acquire six gas fired power stations and a gas pipeline in Mexico from EDF Energy; 
  • Acting for HSH Nordbank AG as mandated lead arranger to European private equity firm HgCapital for its acquisition of talc mining group Mondo Minerals from international white minerals group Omya; 
  • Acting for Deutsche Bank, ABN AMRO Bank and others in relation to the financing of CVC's takeover bid via a Dutch bidco for SIG Holding AG and Elopak A/S; 
  • Acting for ABN AMRO and others in relation to the financing of CVC's bid for the Compass Group Plc; and 
  • Acting for Rabobank as Fronting Bank in the €10.8 billion financing for the cash portion of Mittal Steel N.V.'s €25.8 billion bid to acquire French rival, Arcelor SA.

Real Estate Finance
  • Acting for ABN AMRO Bank as senior lender in the financing of the acquisition of a number of German and Swedish property portfolios by various funds and other investors including various accordion facilities; 
  • Acting for funds advised by Cordea Savills in relation to the financing and re financing of property portfolio acquisitions in Europe and joint venture development projects in Europe, Turkey and India; and 
  • Acting for the lenders to a Meyer Bergman related real estate fund in relation to the acquisition of a shopping centre in Ukraine and subsequent post acquisition restructuring.

Trade Finance 
  • Acting for a major international bank as financier of a number of cross border web based supply chain financing transactions; 
  • Acting for Barclays Bank Plc as purchaser of Californian and New York software receivables.

PPP Financings 
  • Acting for Barclays Capital on the refinancing of the Hairmyres Hospital PPP project; 
  • Acting for Barclays Bank Plc on the refinancing and restructuring of a number of school PPP projects; 
  • Acting for Bank of Scotland on the Manchester and Wakefield street lighting PPP projects; 
  • Acting for Financial Security Assurance (U.K.) and Prudential M&G on the monoline wrapped bond financing of the Exeter Crown & County Courts PPP transaction; and 
  • Acting for Shanks Plc on the finance aspects of their successful bid for the 25 year PPP concession to handle waste from the East London Waste Authority.
