Ms. Napolitano's practice focuses on structuring various investment funds, as well as implementing and negotiating prime brokerage, securities lending and cross-border derivatives arrangements for clients world-wide. 

Investment management

Her investment management and securities law experience includes U.S. and non-U.S. private investment companies, U.S. registered investment companies, U.S. registered investment advisers, and the implementation of related compliance programs. 

Derivatives

Respecting her commodities law and derivatives practice, Ms. Napolitano negotiates global prime brokerage and lending arrangements, futures, swaps, and repurchase agreements.

Prior to joining White & Case, Ms. Napolitano was an Associate for two years at a leading New York City law firm focusing on fund formation.  Before entering law school and during her law school career, Ms. Napolitano was employed by a major international bank for 14 years, focusing on various U.S. and non-U.S. institutional investment funds, US bank collective investment trusts, and insurance company separate accounts as well as prime brokerage and derivatives within the bank's global investment management division.  During the first nine years of her career with the bank, followed by five years as Vice President & Counsel to the bank, Ms. Napolitano developed and supported the implementation of futures compliance programs and addressed a broad array of CFTC regulatory matters.

• Representation of major middle Eastern institutions and governmental entities in connection with prime brokerage, securities lending arrangements, hedge fund and private equity investments.
• Representation of Dexia Crédit Local and Dexia Global Structured Finance LLC in connection with seed capital arrangement in contemplation of fund launch.
• Representation of AIG in connection with seed capital arrangement in contemplation of fund launch.
• Representation of NorthStar Real Estate Securities Opportunity Fund in connection with swap, prime brokerage, custody, repurchase and lending arrangements.
• Representation of Thor Asset Management and Thor Optima Funds in connection with Fund offering and Adviser restructuring.
• Representation of Resolve Eco Fund in connection with Fund offering and Adviser restructuring.
• Representation of various swap counterparties.
• Representation of online Foreign Exchange platform provider.
